Klaviyo Free Cash Flow Fell 47% as It Bought an AI Team

Klaviyo reported free cash flow of $24.8 million for the third quarter of 2026, down about 47% from $47.1 million a year earlier, by our arithmetic, in its results release filed on 4 November. Revenue rose 25% to $387.2 million in the same quarter.

One line explains most of the gap. Klaviyo’s free cash flow reconciliation subtracts $15.3 million for the “Acquisition of intangible assets”, a line that was empty a year earlier. That is about 69% of the $22.3 million decline, by our arithmetic. Adding it back, as Klaviyo’s own adjusted measure does, gives $40.1 million.

Dumbbell chart: Klaviyo Q3 2025 to Q3 2026, operating cash flow $54.8M to $52.7M, adjusted free cash flow $47.1M to $40.1M, free cash flow $47.1M to $24.8M
Klaviyo third-quarter cash flow measures, 2025 and 2026, from its Q3 2026 release; adjusted free cash flow adds back the $15.3 million intangible-asset purchase, per Klaviyo’s definition.

The key insight: Klaviyo’s third-quarter free cash flow fell about 47% to $24.8 million while revenue rose 25%, by our arithmetic; a $15.3 million intangible-asset purchase, which the 10-Q ties to the Agency AI team-and-technology deal, is about 69% of the decline.

What Klaviyo Bought

The 10-Q describes the purchase in Note 15. On 4 August, Klaviyo agreed to acquire from Agency AI, Inc. “specific proprietary software and intellectual property as well as an assembled workforce comprised of Agency employees”. The deal closed on 7 August for $15.0 million paid at closing, plus up to $2.0 million of wind-down costs due by the end of the year; $0.3 million of acquisition costs were capitalised.

Elsewhere the 10-Q calls it the team and technology of “Agency, an AI-native customer success company”. Klaviyo booked $16.0 million of developed technology and $1.3 million of assembled workforce, amortised over a weighted-average “0.83 years”. Higher “amortization of intangibles acquired in acquisition” added $4.8 million to research and development costs compared with a year earlier, the 10-Q says.

Klaviyo's third-quarter 2026 cash from operations ($52.7 million) and where it went: free cash flow $24.8 mill
Klaviyo’s third-quarter 2026 cash from operations ($52.7 million) and where it went: free cash flow $24.8 million, a $15.3 million intangible-asset purchase (the Agency AI deal, 10-Q Note 15), and $12.6 million of equipment and capitalised software, per its release filed on 4 November 2026. The 47% decline and the $12.6 million sum are our arithmetic.

What Was Posted on X

Wall St Engine’s earnings card for Klaviyo’s third quarter of 2026, posted on 4 November. It lists revenue of $387.2 million, up 25%, and free cash flow of $24.8 million against a $50.2 million estimate. The piece checks each company figure against Klaviyo’s filed release and 10-Q.

The Rest of the Cash Bridge

Operating cash flow was $52.7 million, against $54.8 million a year earlier. Purchases of property and equipment rose to $8.0 million from $2.3 million, and capitalised software fell to $4.6 million from $5.4 million. Wall St Engine’s earnings card put the free cash flow estimate at $50.2 million; the reported figure is about half of it, by our arithmetic.

Non-GAAP operating income was $56.9 million, a 15% margin, and non-GAAP earnings were $0.22 per share. GAAP operating loss was $4.5 million. Klaviyo raised its 2026 revenue guidance to $1.537 billion to $1.541 billion, about 25% growth, and guided fourth-quarter revenue to $421 million to $425 million, about 21%.

Large Customers and Agents

The release counts more than 211,000 customers. Customers generating over $50,000 of ARR rose 33% to 4,725; those over $250,000 rose 49% to 390; and 105 customers generating $500,000 of ARR were up 57%. Net revenue retention was 108%, and 22% of ARR came from customers using three or more products. The 10-Q says about 60% of the revenue increase came from new customers.

Co-CEO Andrew Bialecki said in the release that “as agents take on more of the work, they are only as good as the context behind them”. The release lists Klaviyo Headless, “giving customers optionality to access Klaviyo data from any AI system, including Claude and ChatGPT”, and the latest version of Composer, which it calls “more autonomous, proactive, and trusted”.

The board authorized a new $300 million share repurchase program, which follows the completion in October of a prior $500 million authorization, according to the release.

What the Risk Factors Say

The Q3 10-Q carries two risk factor headings that do not appear in the 2025 10-K, by our check. The first is “The trading price of our Series A common stock may be volatile or may decline regardless of our operating performance.” (621 words, our count). The second is “Our share repurchase program could impact the trading price, liquidity, and ownership concentration of our Series A common stock.” (155 words, our count).

Connecting the Coverage

We covered the deal when it was announced: Klaviyo acquires Elias Torres’ Agency. On agents in marketing, see Perplexity says its agent got 3.5x ad revenue on 2.1x spend.

The Structural Read

As we read the cash flow reconciliation, the quarter’s cash story is mostly one purchase: operating cash fell only $2.1 million, while the new intangible-asset line took $15.3 million.

As we read Note 15, Klaviyo bought software and people rather than a company, and it is amortizing the technology over less than a year, so the cost reaches research and development within months.

Andrew Bialecki, Klaviyo Q3 2026 release, 4 November 2026

“AI is taking barriers out of marketing, and as agents take on more of the work, they are only as good as the context behind them.”

Three Implications

FOR FREE CASH FLOW Klaviyo’s adjusted free cash flow, which adds back the $15.3 million purchase, was $40.1 million against $47.1 million a year earlier.

FOR THE INCOME STATEMENT The 0.83-year weighted-average amortization period means the $17.3 million of acquired intangibles is expensed over months, not years; higher amortization added $4.8 million to research and development costs year on year, the 10-Q says.

FOR CAPITAL RETURN The board authorized a new $300 million share repurchase program after completing a $500 million one in October, according to the release.

The Business Engineer Lens

This story maps onto the Business Engineer framework AI & The Great SaaS Bifurcation.

The framework says: “What emerges is a barbelled market structure where software companies must choose between racing to the commoditization floor or climbing to the embedding ceiling.”

As we read it, Klaviyo’s release reports the metrics of the embedding side: 22% of ARR from customers on three or more products, customers at $500,000 of ARR up 57%, and Klaviyo Headless opening its data to Claude and ChatGPT. The framework does not discuss Klaviyo.

What Is Not Established

The filings we read do not say what revenue, if any, Agency’s technology produces or which Klaviyo product it feeds. They do not split the $8.0 million of equipment spending by purpose. The share of free cash flow decline attributed to the purchase is our arithmetic. We did not hear the earnings call.

The Bottom Line

Klaviyo’s third-quarter free cash flow fell about 47% to $24.8 million while revenue grew 25%, by our arithmetic. A $15.3 million intangible-asset purchase, which the 10-Q ties to the Agency AI team-and-technology deal, accounts for about 69% of the decline; adjusted free cash flow, which adds it back, was $40.1 million.
