At 12:03 UTC on 3 November, Wall St Engine (@wallstengine) posted its highlights card for Fiserv’s third quarter: adjusted revenue, adjusted earnings per share and adjusted operating income with consensus estimates, flat organic revenue, segment revenue, the $6.45 billion goodwill impairment and the $1 billion Project Elevate savings target. The card lists free cash flow of $2.04 billion among third-quarter metrics; in the release that figure is for the first nine months of 2026.
Fiserv spent $487 million in the first nine months of 2026 on what it calls a multi-year transformation initiative “focused on technology modernization, operational excellence and process reengineering enabled by artificial intelligence,” its third-quarter release shows. A year earlier the same line was $13 million.
The company excludes those costs from its adjusted results. In the third quarter they came to $158 million, or $0.24 a share after tax, against adjusted earnings per share of $1.75. Included, adjusted earnings would have been $1.51, and the program equals about 14% of the adjusted figure, by our arithmetic.
The release also carries a $6.45 billion non-cash goodwill impairment, a GAAP loss of $11.17 a share, and a doubling of the Project Elevate savings target to $1 billion.
Business Pill · Gross vs Net Savings
An evergreen Business Engineer explainer on gross versus net savings: why what you cut is not what you keep. It explains the general idea only and does not discuss Fiserv.
The key insight: As we read the reconciliation, the cost of Fiserv’s AI-enabled overhaul sits below the line investors are guided on: $0.24 a share in the quarter, about 14% of adjusted earnings, by our arithmetic.
What Fiserv Reported
GAAP revenue for the quarter was $5.20 billion, down 1%. Adjusted revenue, which excludes postage reimbursements, was $4.85 billion, also down 1%, and organic revenue was flat: down 2% in Merchant Solutions and up 2% in Financial Solutions.
Adjusted operating margin fell to 31.2% from 37.0%, with Merchant Solutions at 28.7% against 37.2%. Adjusted earnings per share were $1.75, against $2.04 a year earlier.
Wall St Engine’s highlights card put the consensus estimates at $4.84 billion for adjusted revenue and $1.72 for adjusted earnings per share. The card lists free cash flow of $2.04 billion among third-quarter metrics; in the release that figure is for the first nine months of 2026.

What the AI-Enabled Program Costs
The release’s footnote breaks down the program. In the first nine months it included $232 million of technology infrastructure modernization, $74 million of third-party consulting and advisory fees, and $126 million of incremental compensation, mainly retention cash awards and restricted stock units. In the third quarter those figures were $80 million, $13 million and $37 million.
Separately, severance costs were $196 million in nine months, against $56 million a year earlier. Severance and the transformation program together came to $683 million, or $1.03 a share after tax, by our arithmetic from the reconciliation.
Over nine months, the program’s $0.73 a share equals about 14% of adjusted earnings per share of $5.38, by our arithmetic.
“As we simplify and focus our organization with an AI-everywhere mindset, we have increasing confidence that we can drive greater efficiency while investing in innovation and delivering differentiated client value,” said Takis Georgakopoulos, the chief executive.
Savings, Impairment and Buybacks
Fiserv raised its projected savings under Project Elevate to $1 billion from $500 million, after what it calls a comprehensive portfolio review and identification of additional operational efficiencies. The release does not give a timetable or say how the savings relate to the transformation spending.
The $6.45 billion goodwill impairment was recorded within Corporate and Other. The company expects to repurchase $500 million of stock in the fourth quarter.
Fiserv affirmed its 2026 outlook of organic revenue growth of minus 1% to 0% and adjusted earnings per share of $7.20 to $7.40. After $5.38 in nine months, that implies $1.82 to $2.02 for the fourth quarter, by our arithmetic.
What the Risk Factors Say
Fiserv had not filed its quarterly report on Form 10-Q for the third quarter when we checked EDGAR on 3 November, so there is no updated risk-factor section to compare yet.

The Structural Read
As we read the footnote, most of the program is plumbing and people: technology infrastructure modernization, consultants and retention awards, rather than a separately priced AI product.
As we read the outlook, Fiserv is asking investors to judge it on adjusted earnings of $7.20 to $7.40 while the transformation spending and severance, $683 million in nine months by our arithmetic, are counted outside that figure.
As we read the savings target, the payoff is described in larger terms than before, $1 billion against $500 million, but the release does not set it against the spending or give a date.

Three Implications
FOR FISERV’S EARNINGS QUALITY About 14% of adjusted EPS, by our arithmetic, depends on excluding an AI-enabled transformation program.
FOR AI COST SAVINGS Fiserv doubled its Project Elevate savings target to $1 billion in the same quarter it spent $158 million on the program.
FOR SHAREHOLDERS Buybacks resume with $500 million planned in the fourth quarter, after a $6.45 billion goodwill impairment.
The Business Engineer Lens
This story maps onto the Business Engineer framework The CFO’s Guide to the Token Economy.
The framework makes the point directly: “In 2026 it became a CFO problem, because the economics finally turned legible — and unforgiving.”
As we read it, Fiserv’s release shows one way the bill becomes legible: a named, footnoted line for AI-enabled transformation, sized each quarter and excluded from adjusted earnings. The framework discusses AI spending in general and does not discuss Fiserv.
What Is Not Established
The release does not say how much of the transformation spending is for AI specifically, or which business the goodwill impairment relates to beyond its recording in Corporate and Other. We did not review the earnings call.
The Bottom Line
Fiserv’s AI-enabled transformation is now a $487 million line in nine months, excluded from the adjusted earnings the company guides to. Counted in, it would have taken about 14% off third-quarter adjusted earnings per share, by our arithmetic, while the company doubled its savings target to $1 billion.

A note on sourcing. This piece is based on Fiserv’s third-quarter results release (Form 8-K Exhibit 99.1) filed with the SEC on 3 November 2026, including its reconciliation tables. Adjusted EPS including the program ($1.75 minus $0.24, and $5.38 minus $0.73), its share of adjusted EPS, the combined severance and program figures ($487 million plus $196 million; $0.73 plus $0.30) and the implied fourth-quarter range ($7.20 to $7.40 minus $5.38) are our arithmetic. Consensus estimates are as cited by Wall St Engine. We did not contact Fiserv.
