BioNTech to Fold InstaDeep In, Discloses a โ‚ฌ96M AI Write-Off

BioNTech plans to fold InstaDeep, the AI company it bought in July 2023, directly into its core business and to use off-the-shelf AI for a growing number of tasks, according to its quarterly report filed on 3 November. The same report shows a โ‚ฌ96.0 million impairment of a technology asset “due to a shift towards next-generation AI models and technologies.”

That asset was written down to zero. By our arithmetic it made up half of the โ‚ฌ191.7 million of impairments on other intangible assets that BioNTech recognized in the third quarter. Neither the InstaDeep plan nor the AI impairment appears in its second-quarter report, by our check.

Business Pill · Vertical Integration

A short explainer on vertical integration: why every layer takes a cut. It teaches the general idea only and does not discuss BioNTech.

The key insight: By our arithmetic, the โ‚ฌ96.0 million technology asset BioNTech impaired because of a shift towards next-generation AI models was half of the โ‚ฌ191.7 million of intangible write-downs it recognized in the third quarter.

What the Quarterly Report Says About AI

Under the heading InstaDeep Integration, the report says: “For InstaDeep, we plan to integrate its expertise and capabilities directly into BioNTech’s core business. Moving forward, AI development at BioNTech will focus on supporting BioNTech’s strategic goals, operational processes, and innovation priorities.”

It says BioNTech will keep developing its own AI where it has highly specific needs, such as neoantigen detection R&D. But it adds that “we plan to use high-quality off-the-shelf solutions which are now available for a growing number of use cases ensuring speed, scalability, and economic efficiency.” It says the decision “takes the broader evolution of the AI market into account”.

The report does not say whether the impaired technology asset came from InstaDeep. It says the asset’s recoverable amount, calculated as value in use, was determined to be zero.

Wall St Engine posted its third-quarter 2026 earnings highlights card for BioNTech at 11:47 UTC on 3 November, listing revenue of EUR 1,289.2 million against an estimate of EUR 1.05 billion, the narrowed EUR 1.7-1.9 billion guidance and EUR 16.2 billion of cash and security investments. The figures in this piece come from BioNTech’s own release and quarterly report; the post is cited only for the consensus estimate.

The Write-Downs in the Quarter

BioNTech recognized โ‚ฌ191.7 million of impairment losses on other intangible assets in the third quarter and โ‚ฌ318.5 million in the first nine months, against โ‚ฌ85.4 million in both periods of 2025. Besides the โ‚ฌ96.0 million technology asset, the third quarter included โ‚ฌ67.5 million for an early clinical-stage product candidate impaired for strategic reasons and โ‚ฌ28.2 million of other intangibles, including licenses and software.

The report says these impairments relate to assets outside its strategic focus and were mainly recognized as research and development expenses.

What BioNTech Reported

Revenue was โ‚ฌ1,289.2 million in the third quarter, against โ‚ฌ1,518.9 million a year earlier, and โ‚ฌ1,512.9 million for the first nine months, against โ‚ฌ1,962.5 million. The release attributes the decreases mainly to expected lower market demand for its COVID-19 vaccines. Wall St Engine cited a consensus revenue estimate of โ‚ฌ1.05 billion.

By our arithmetic, the third quarter brought in 85% of the year’s revenue so far, and the first half only โ‚ฌ223.7 million. Net profit was โ‚ฌ184.5 million, or โ‚ฌ0.73 a diluted share, against a loss of โ‚ฌ28.7 million; adjusted net profit was โ‚ฌ440.9 million, or โ‚ฌ1.76 a share. IFRS R&D expenses rose to โ‚ฌ748.1 million from โ‚ฌ564.8 million.

Guidance and Cash

BioNTech now guides for 2026 revenue of โ‚ฌ1.7 billion to โ‚ฌ1.9 billion, against โ‚ฌ1.6 billion to โ‚ฌ1.9 billion on 4 August. By our arithmetic, that implies fourth-quarter revenue of about โ‚ฌ187 million to โ‚ฌ387 million. Cash, cash equivalents and security investments were โ‚ฌ16.2 billion.

Chief financial officer Ramรณn Zapata said: “Our performance in the third quarter allowed us to narrow our full-year 2026 revenue guidance to the upper end of the previous guidance range.” He added that BioNTech returns capital to shareholders through its share repurchase program.

BioNTech also exercised an option under its Roche and Genentech collaboration that, per the quarterly report, changes its economics from a 50:50 cost-profit sharing structure to a royalty-based model; the release says future R&D costs will generally be assigned to Roche and Genentech from 1 January 2027.

What the Risk Factors Say

The quarterly report keeps the AI risk factor it carried in the second quarter, including the sentence: “We are investing in AI technology systems, including through our acquisition of InstaDeep, and such systems are complex and rapidly changing.” Because the report is filed on Form 6-K rather than as a 10-Q, we did not run our 10-Q risk-factor comparison on it.

The Structural Read

As we read the report, BioNTech is redrawing its build-versus-buy line for AI: it keeps in-house work where its needs are specific, such as neoantigen detection, and buys off-the-shelf tools elsewhere.

As we read the numbers, the impairment and the plan point the same way: the report ties the write-down to newer AI models and ties the off-the-shelf plan to tools that are now available for more use cases.

Three Implications

FOR INSTADEEP The report says BioNTech plans to integrate InstaDeep’s expertise and capabilities directly into its core business, with AI development focused on its own goals and processes.

FOR THE INCOME STATEMENT Third-quarter impairments on other intangible assets were โ‚ฌ191.7 million and nine-month impairments โ‚ฌ318.5 million, against โ‚ฌ85.4 million in both 2025 periods, per the report.

FOR REVENUE The third quarter brought in 85% of nine-month revenue, by our arithmetic, and guidance of โ‚ฌ1.7 billion to โ‚ฌ1.9 billion implies about โ‚ฌ187 million to โ‚ฌ387 million in the fourth quarter.

The Business Engineer Lens

This story maps onto the Business Engineer framework The Open vs Closed Meta-Framework.

The framework argues: “Every technology stack has layers. Some are scarce, some are abundant.”

As we read it, BioNTech’s report sorts its AI work along that line: general tools it now buys off the shelf, and specific work such as neoantigen detection that it keeps in-house. The framework is the owner’s argument and does not discuss BioNTech.

What Is Not Established

The report does not say which technology asset was impaired, what BioNTech paid for it or whether it came from InstaDeep. It does not say whether the integration involves job cuts, a change to InstaDeep’s outside customer business or any cost saving, and it does not name the off-the-shelf AI tools or their suppliers.

The implied fourth-quarter range is our arithmetic on guidance, not a company forecast. This piece does not draw on the earnings call and does not assess any clinical data in the release.

The Bottom Line

BioNTech’s third-quarter report sets out a plan to fold InstaDeep into the core business and to use off-the-shelf AI where it can, and shows a โ‚ฌ96.0 million technology asset fully impaired because of a shift towards next-generation AI models. By our arithmetic that write-down was half the quarter’s โ‚ฌ191.7 million of intangible impairments, in a quarter that brought in 85% of the year’s revenue so far.
