Cognition Gets $70B-$80B Offers Weeks After a $48B Round

Cognition, the maker of the Devin coding agent, has received investor offers valuing it at between $70 billion and $80 billion and is seriously considering a round before the end of the year, Business Insider reported on 28 October 2026, citing people familiar with the matter. The talks are still early, and valuation targets could still change, the report says.

The offers come weeks after Cognition announced, on 8 September 2026, that it had raised more than $2 billion at a $48 billion valuation. In plain words: investors are offering to value the company at 46% to 67% more than they did seven weeks ago (our arithmetic).

Business Pill · Power Law

An evergreen Business Engineer explainer on power-law returns in venture. It explains the general idea only and does not discuss Cognition.

The key insight: As we read it, the offers are a price signal for independent coding agents: Business Insider reports a range of $70 billion to $80 billion for Cognition, above the $60 billion SpaceX paid for Cursor, and Cognition itself reported run-rate revenue of almost $900 million in September.

Cognition’s $48 billion Series E valuation (Cognition, 8 September 2026) against the $70 billion low end of the investor offers Business Insider reported on 28 October 2026 (range $70 billion to $80 billion; talks early, terms could change). The +46% to +67% change is our arithmetic (70/48 and 80/48).
  • The offers. Business Insider reports offers valuing Cognition at between $70 billion and $80 billion, and says the company is seriously considering a round before the end of the year, according to sources familiar with the matter.
  • The caveat. The talks are still early and valuation targets could still change, the report says. No round has been announced.
  • The company. Cognition was founded in 2023 by Scott Wu, Steven Hao and Walden Yan, according to Business Insider, and is best known for Devin. Business Insider lists a16z, Accel, Founders Fund, Khosla Ventures, Elad Gil and Pear VC among its existing investors.

Valuations in AI coding, in billions of dollars: the $70 billion to $80 billion range of investor offers for Cognition reported by Business Insider on 28 October 2026 (people familiar with the matter; talks early, terms could change; no round announced), SpaceX’s $60 billion all-stock acquisition of Cursor maker Anysphere (June 2026), and Cognition’s $48 billion Series E valuation (Cognition, 8 September 2026).

What Was Posted on X

Rohan Paul posted that Cognition has received investor offers valuing it at $70 billion to $80 billion and is seriously considering a round before year-end, adding that the offers came weeks after Cognition raised more than $2 billion at a $48 billion valuation in September.

The September Round

In its own announcement on 8 September 2026, Cognition said it had raised over $2 billion at a $48 billion valuation, in a round led by Andreessen Horowitz and Accel, with existing investors Founders Fund, General Catalyst and Avenir. It said its run-rate revenue had grown from $492 million at its May round to almost $900 million.

Using $900 million as the run-rate, the September valuation was about 53 times revenue, and an offer of $70 billion to $80 billion would be about 78 to 89 times (our arithmetic; Cognition said “almost $900M”, so the true multiples are slightly higher). Business Insider does not give a current revenue figure.

Where It Sits Next to Cursor

Business Insider compares the offers with SpaceX’s $60 billion acquisition of Cursor maker Anysphere, writing that a $75 billion valuation “wouldn’t be so far-fetched, as SpaceX just acquired fellow AI coding giant Cursor for $60 billion a few months ago.” We covered that all-stock deal on 23 June, when Cursor’s annualized revenue was $2.6 billion.

Business Insider also notes that Cognition was drawn into a public feud last month with rival Factory AI, which accused Cognition employees of posing as job applicants to seek product information; Cognition and a former Factory adviser denied that confidential information was sought or shared.

Connecting the Coverage

Bloomberg reported in August that SpaceX had approached Cognition about an acquisition that never closed, as we reported on 19 August. On 13 October Factory and Cognition each shipped tools to run fleets of coding agents, as we reported, and on 23 October Robinhood’s retail venture fund said it had closed about $10 million of investments in Cognition, as we reported. Today GitHub made its Copilot Fusion model router generally available, as we reported on 28 October. What’s new here: investors are offering a price for Cognition that would top the $60 billion SpaceX paid for Cursor.

The Structural Read

As we read it, the step-up is steep: $70 billion to $80 billion is 46% to 67% above the $48 billion of seven weeks ago, by our arithmetic.

Using the $900 million run-rate Cognition disclosed in September, the offers would value it at about 78 to 89 times revenue, up from about 53 times at $48 billion (our arithmetic).

Business Insider writes that Cognition’s rapid valuation climb “underscores the investor frenzy around AI coding”, with investors “placing increasingly expensive bets on the few startups they think could emerge as leaders.”

The Business Engineer Lens

This story maps onto the Business Engineer framework The Agentic Harness War.

The framework’s core line: “The surface, not the model, governs autonomy.”

As we read it, Cognition sells that surface: its September post calls the company an independent agent lab that can “choose and combine the models best suited to the work”. The framework was published in July 2026 and does not discuss Cognition’s funding.

What Is Not Established

The $70 billion to $80 billion range comes from Business Insider’s sources, not from Cognition; the company has not announced a new round, and the report says terms could change. We did not contact Cognition. The revenue multiples are our arithmetic using the run-rate Cognition disclosed in September; its current revenue is not in the report.

This week’s issue: the AI build is not short of demand for its parts. It is short of cheap money, and its end revenue rests on a narrow base of large, often venture-funded buyers.

A note on sourcing. The offers, the timing and the caveats come from Business Insider’s report of 28 October 2026, which cites people familiar with the matter; the September round and the run-rate revenue come from Cognition’s own announcement of 8 September 2026. The percentage changes and revenue multiples are our arithmetic. We did not contact Cognition.
