ADT said on 29 October 2026 that Thrive Holdings will acquire it in an all-cash deal that “values ADT at approximately $7.6 billion in equity value and $15.3 billion in enterprise value”, with stockholders to receive $10.00 a share.
ADT says the price is a 45.6% premium to its unaffected close of $6.87 on 27 October. By our arithmetic, the $15.3 billion enterprise value is about 3.0 times ADT’s revenue of $5.16 billion over the four quarters to 30 June 2026.

Business Pill · Distribution Advantage
An evergreen Business Engineer explainer on distribution as a competitive advantage. It teaches the general idea only and does not discuss Thrive Holdings or ADT.
The key insight: By our arithmetic, Thrive Holdings is paying about 3.0 times ADT’s trailing revenue, and roughly half of the $15.3 billion enterprise value sits outside the $7.6 billion equity value ADT gives.
Update (30 Oct): what the merger agreement adds. ADT’s merger-agreement 8-K, filed 29 October, names the buyer as Abode Parent, LLC. It says ADT would pay a termination fee of $227 million if it terminates to accept a Superior Proposal, or $114 million if that happens during the go-shop period, and that ADT is entitled to a $473 million “Parent Termination Fee” under certain circumstances, including if the buyer fails to complete the merger when required. The filing lists three financing commitments: equity from an affiliate of Parent, preferred equity from funds managed by affiliates of Apollo Global Management, and debt from the same Apollo funds, and says “the consummation of the Merger is not conditioned on Parent or Merger Sub obtaining any financing”. By our arithmetic, the $473 million fee is about 6.2% of the $7.6 billion equity value, and the $227 million fee about 3.0%. ADT’s 10-Q for the quarter to 30 June 2026 says it served “approximately 6.1 million security monitoring service subscribers” and lists total debt principal, excluding finance leases, of $7.78 billion. By our arithmetic, the $15.3 billion enterprise value is about $2,500 per subscriber, and the $7.7 billion gap between enterprise and equity value is close to that debt. TechCrunch reported that OpenAI is Thrive Holdings’ partner as well as an investor, and that it supplies AI models and tech as well as forward-deployed engineers to Thrive’s companies.
The Terms in ADT’s Release
ADT says its board unanimously approved the agreement and that the price is also a 52.1% premium to its 30-day volume-weighted average price ending on 27 October.
The release says “Financing commitments for the transaction have been solely provided by funds managed by affiliates of Apollo Global Management, Inc.” It says the deal is expected to close in the first quarter of 2027, subject to ADT stockholder approval and U.S. antitrust approval, and is not subject to a financing condition.
ADT says it may solicit other proposals until 11:59 p.m. New York time on 28 November 2026, with a potential 10-day extension for certain parties. It also says its third-quarter results will be issued on 3 November and that it will not take questions on that call.

What Was Posted on X
TechCrunch reported on X that OpenAI-backed Thrive Holdings is buying ADT in a $15.3 billion deal, with plans to bring AI to the home security business.
Who Thrive Holdings Is
The release describes Thrive Holdings as “a permanent capital holding company focused on investing in established businesses and advancing their capabilities through technology”. It says “more than 75 businesses across accounting, IT services and the built environment are part of Thrive Holdings” and that ADT “will form the foundation of Thrive Holdings’ smart home security business”.
Reuters reported in December 2025 that OpenAI took a stake in Thrive Holdings as part of a partnership to embed artificial intelligence into industries such as accounting and IT services. Per that report, “As part of the non-monetary deal, OpenAI will provide a dedicated research team and resources in return for an ownership interest in Thrive Holdings”.
What the Release Says About Technology
ADT’s release says “Thrive Holdings’ engineering teams will work alongside ADT’s professionals to identify opportunities for technology to enhance the Company’s products and services and help its teams support customers more effectively”.
On data, the release says “ADT’s data and privacy policies will remain unchanged, and no new data sharing will occur without customer permission”. In the release we read, the word “AI” does not appear; it speaks of technology and engineering capabilities.
The Balance Sheet Behind the Price
By our arithmetic, the gap between the $15.3 billion enterprise value and the $7.6 billion equity value is about $7.7 billion, close to the $7.78 billion of long-term debt ADT reported at 30 June 2026. ADT reported cash of $3.9 million on the same date.
ADT’s filings give revenue of $1.30 billion in the third quarter of 2025, $1.28 billion in the fourth, $1.28 billion in the first quarter of 2026 and $1.31 billion in the second; the $5.16 billion four-quarter total is our arithmetic.
The Structural Read
As we read the release, the deal is described in terms of technology and engineering capacity rather than AI; the AI link comes from Reuters’ report that OpenAI holds an ownership interest in Thrive Holdings.
As we read the terms, the financing comes from Apollo-managed funds, ADT keeps a go-shop window until 28 November, and the close is expected in the first quarter of 2027.
As we read ADT’s filings, the $7.7 billion gap between enterprise and equity value is close to the $7.78 billion of long-term debt ADT reported at 30 June 2026; the release itself does not break the gap down.
ADT press release, 29 Oct 2026
“Following the closing of the transaction, ADT will form the foundation of Thrive Holdings’ smart home security business.”
Three Implications
FOR ADT STOCKHOLDERS ADT says they would receive $10.00 a share in cash, a 45.6% premium to the unaffected close, and the go-shop lets ADT solicit other proposals until 28 November.
FOR THRIVE HOLDINGS The release says more than 75 businesses across accounting, IT services and the built environment are part of Thrive Holdings, and ADT would add a smart home security business.
FOR CUSTOMERS ADT says its data and privacy policies will remain unchanged and that no new data sharing will occur without customer permission.
The Business Engineer Lens
This story maps onto the Business Engineer framework The AI Embedding Business Model.
The framework puts it in one line: “Your product stops being the thing companies buy and becomes the thing other systems assume exists.”
As we read it, the question for Thrive Holdings is whether owning ADT’s customer relationships and service network makes it that kind of layer. The framework was published in December 2025 and does not discuss Thrive Holdings or ADT.

What Is Not Established
The release does not say how Thrive Holdings will use AI at ADT or whether OpenAI’s research team will work on ADT. It gives no breakdown of the remainder between the equity and enterprise values; our comparison with ADT’s long-term debt is our arithmetic. This piece rests on ADT’s release filed with the SEC on 29 October 2026, ADT’s 10-Q and 10-K data, and a Reuters report from December 2025.
The Bottom Line
ADT says Thrive Holdings will pay $10.00 a share in cash, valuing ADT at about $7.6 billion in equity and $15.3 billion in enterprise value, with Apollo-managed funds providing the financing commitments and a close expected in the first quarter of 2027.
