Meta Issued 20M Options at $2,788, 4.5x Its Share Sale Price

Meta issued stock options on 20 million Class A shares to “certain of our executives and employees” in the first nine months of 2026, with a weighted-average exercise price of $2,788 per share, according to its quarterly report for the third quarter.

Meta priced its Class A share sale at $625.00 a share on 26 October, as we reported in Meta’s stock sale. By our arithmetic, the options’ average exercise price is 4.5 times that sale price.

A vertical news Short summarising this story. Figures come from Meta’s 10-Q; our arithmetic is labelled.

What the 10-Q Discloses

The filing says: “we issued nonstatutory stock options to purchase an aggregate of 20 million shares of our Class A common stock under the 2025 Plan to certain of our executives and employees”.

It adds that the options have “a weighted-average remaining contractual term of approximately four years as of September 30, 2026”. They “become vested and exercisable at such times and under such service and market conditions as determined by our compensation, nominating & governance committee or its equity subcommittee”.

The 10-Q puts the unrecognized expense on these options at $399 million, “expected to be recognized over a weighted-average period of approximately three years”. It does not name the executives or give the number of recipients.

The weighted-average exercise price of the stock options Meta issued in the first nine months of 2026 ($2,788, from its third-quarter 10-Q) against the $625.00 price of its October share sale. The 4.5x ratio and the implied market values are our arithmetic.

What $2,788 Means in Market Value

Meta had 2,214 million Class A and 342 million Class B shares outstanding on 30 September, the 10-Q shows. By our arithmetic, that is 2,556 million shares, and at $2,788 a share they would be worth about $7.1 trillion.

The same arithmetic at the $625.00 sale price gives about $1.6 trillion. The share count will change with the sale and with new awards, so these are illustrations of scale, not forecasts.

The Options Sit Beside a Larger RSU Pool

The 10-Q says unrecognized expense for restricted stock units was $75.59 billion, “which is expected to be recognized over a weighted-average period of approximately three years”. By our arithmetic, the $399 million for options is about 0.5% of that.

The filing says that effective 1 January 2026 the board “approved an increase of 55 million shares of Class A common stock reserved for issuance”, leaving 445 million shares reserved under the 2025 Plan on 30 September.

The Business Lever: Pay Tied to a Higher Share Price

Separately, Meta priced a share sale on 26 October, as we reported. The 10-Q shows a $68.40 billion maximum exposure to its data center ventures, which we covered in Meta’s venture exposure. S&P turned Meta’s outlook negative on 30 October, in our earlier coverage.

By our arithmetic, the weighted-average exercise price is about 346% above $625.00. The filing does not discuss the gap between the two prices.

The Structural Read

As we read the 10-Q, the options vest on service and market conditions set by Meta’s compensation committee, which ties this pay to the share price rather than to time alone.

As we read it, the $399 million of unrecognized option expense is about 0.5% of the $75.59 billion for restricted stock units, by our arithmetic.

As we read it, the 10-Q gives a weighted-average exercise price of $2,788 and no range of exercise prices.

Meta Platforms, Form 10-Q, quarter ended 30 September 2026

“Stock options become vested and exercisable at such times and under such service and market conditions as determined by our compensation, nominating & governance committee or its equity subcommittee, as appropriate.”

Three Implications

FOR META SHAREHOLDERS The 10-Q shows 445 million Class A shares reserved under the 2025 Plan on 30 September, after a 55 million share increase in January.

FOR OPTION HOLDERS The filing gives a weighted-average remaining term of about four years and expense recognized over about three years.

FOR READERS OF THE PROXY The 10-Q does not name recipients or list the market conditions; it gives totals and averages only.

The Business Engineer Lens

This story maps onto the Business Engineer framework The AI Capex Map.

The framework says “It is a sovereign-scale financing problem dressed in tech-company clothing โ€” and the financial architecture is starting to invert.”

As we read it, equity is part of that architecture, and Meta used it in October through a share sale. The framework predates this 10-Q and does not discuss Meta’s options.

What Is Not Established

The 10-Q does not say when in 2026 the options were issued, what the market conditions are, or who received them. A weighted average can hide a range of exercise prices. Meta’s proxy statement, not this filing, would normally give named-executive detail.

The Bottom Line

Meta issued options on 20 million Class A shares in 2026 at a weighted-average exercise price of $2,788, 4.5 times the $625.00 price of its October share sale by our arithmetic. By our arithmetic, across the 2,556 million shares outstanding on 30 September, that price would illustrate a value of about $7.1 trillion; it is not a forecast.
