Anthropic Plans Up to $3.5B Japan Share Sale in Its IPO

Anthropic plans to sell up to 552.9 billion yen ($3.5 billion) worth of shares to investors in Japan as part of its US public listing, Reuters reported on 2 November, citing a filing published that Monday. Reuters said the filing did not state the size or valuation of the IPO itself.

By our arithmetic, that ceiling is about 1.6 times the $2.2 billion of shares that investors in Japan secured in SpaceX’s June IPO, which Reuters described as the world’s largest ever.

The key insight: Reuters reported on 2 November that a Japanese filing shows Anthropic selling up to 552.9 billion yen ($3.5 billion) of shares in Japan as part of its US listing, about 1.6 times the $2.2 billion investors in Japan secured in SpaceX’s IPO, by our arithmetic.

What the Filing Shows

According to Reuters, the new shares issued to Japanese investors are meant to raise working capital and fund operating expenses and capital expenditure, as the filing put it. Reuters converted the yen amount at 157.82 yen to the dollar.

The filing gives a ceiling, “up to,” not a final allocation. Reuters did not name the Japanese brokers handling the tranche, and the report does not give a share count or a price.

What the US Prospectus Already Said

The Japan sale was flagged in Anthropic’s Form S-1, filed with the SEC on 26 October. The prospectus says: “This offering includes public offerings in Australia, Canada, certain member states of the European Economic Area, Japan, Switzerland, and the United Kingdom.”

It adds: “We do not currently intend to list our Class A common stock on any exchange in such jurisdictions.” The listing itself is planned for the US: Anthropic has “applied to list our Class A common stock on the Nasdaq Global Select Market,” under the symbol ANT.

The S-1 also says that if a foreign public offering is dropped before completion, those shares are expected to be reallocated to the remaining offerings, including the US, “and thus the total size of this offering is not expected to change.” So the Japan tranche is a slice of the global deal, not an addition to it.

The S-1 does not give a dollar figure for any country. The Japan filing reported by Reuters is the first number we have seen for a single foreign tranche. Our longer read of the prospectus is in Anthropic’s longest IPO risk is power and chips.

How It Compares With SpaceX

Reuters gave one benchmark: at SpaceX’s IPO in June, investors in Japan secured shares worth $2.2 billion of $75 billion raised. By our arithmetic, that was about 2.9% of the SpaceX deal.

Anthropic’s Japan ceiling of $3.5 billion is about 1.6 times SpaceX’s Japan figure, by our arithmetic (3.5 divided by 2.2). The two numbers are not like for like: SpaceX’s is what was sold, Anthropic’s is the most it has registered to sell.

Against valuation, the tranche is small. Reuters said some investors have discussed a valuation of about $1.5 trillion for the company, a figure we covered when investors weighed a $1.5T IPO value, down from $2T. Up to $3.5 billion is about 0.23% of $1.5 trillion, by our arithmetic.

Our earlier coverage of the deal’s structure: Anthropic weighs up to 20% of its IPO for retail investors, and Blackstone expects a BB rating for Anthropic after the IPO.

The Structural Read

As we read the two filings together, the S-1 set up the structure, public offerings in six jurisdictions outside the US with no local listing, and the Japan filing is the first to attach a number to one of them.

As we read it, the tranche is a slice of one global deal: the S-1 says shares from a dropped foreign offering are expected to be reallocated, so the total size is not expected to change.

Three Implications

FOR INVESTORS IN JAPAN Reuters reported a ceiling of up to 552.9 billion yen; the final amount placed is not known until the deal prices.

FOR THE IPO’S SIZE Reuters said the Japan filing did not state the size or valuation of the IPO, and the S-1 left the price range blank.

FOR ANTHROPIC’S USE OF THE MONEY Reuters said the filing names working capital, operating expenses and capital expenditure as the uses of the new shares sold in Japan.

The Business Engineer Lens

The framework describes the AI build-out this way: “It is a sovereign-scale financing problem dressed in tech-company clothing.”

As we read it, a public offering spread across seven jurisdictions, with Japan alone registered for up to $3.5 billion, fits that description. The framework is the owner’s argument and does not discuss this filing.

What Is Not Established

The total size of the IPO, the price range and the final valuation are not in the Japan filing, according to Reuters, and the S-1 left the price range blank. How much of the $3.5 billion is actually placed in Japan is not known until the deal prices.

We were not able to read the Japanese filing itself. The figures here come from Reuters’ report of it and from the US S-1.

The Bottom Line

The S-1 named Japan among six jurisdictions outside the US with public offerings but no local listing. The Japan filing now puts a ceiling on that slice: up to $3.5 billion, about 1.6 times what investors in Japan bought in SpaceX’s IPO, by our arithmetic. A note on sourcing. The Japan figures are from Reuters’ report of the Japanese filing, which we could not read directly; prospectus quotes are from Anthropic’s SEC Form S-1. The 1.6x, 2.9% and 0.23% figures are our arithmetic.
