Anthropic’s IPO Stock-Pay Charge Rose to $8.2B From $2.9B

If Anthropic’s IPO had been completed on 30 September, it would have recorded $8.2 billion of cumulative stock-based compensation expense for its restricted stock units on that date, according to the amended Form S-1 it filed with the SEC on Monday, 2 November.

The original Form S-1, filed on 26 October, gave $2.9 billion for an IPO completed on 30 June. The increase is about $5.3 billion, by our arithmetic.

The key insight: Anthropic’s amended S-1 says an IPO completed on 30 September would have triggered $8.2 billion of cumulative RSU stock-based compensation expense, up from $2.9 billion for 30 June in its 26 October filing.

What the Filing Says Happens at the IPO

The filing says the RSUs vest on a service condition and on a performance condition that “will be satisfied upon the effectiveness of the registration statement of which this prospectus forms a part”, and that “As of September 30, 2026, no stock-based compensation expense had been recognized for such RSUs because a qualifying event as described above was not probable”.

It says “If this offering had been completed on September 30, 2026, we would have recorded $8.2 billion of cumulative stock-based compensation expense related to the RSUs on that date”, and that an additional $24.1 billion of unrecognised RSU expense would be recognised over a weighted-average period of approximately 2.0 years.

The 26 October filing put those amounts at $2.9 billion and $23.7 billion, with the remainder recognised over approximately 2.1 years. Anthropic also reported unrecognised expense of approximately $2.1 billion for other outstanding equity awards as of 30 September, against approximately $3.1 billion as of 30 June.

The Stock Pay Already Recorded

Stock-based compensation already included in the income statement was $1.1 billion in the third quarter of 2026, against $1.3 billion in the second quarter and $305 million a year earlier, according to the quarterly results in the amended filing. For the nine months it was $3.3 billion, against $591 million.

Personnel expense fell to $1,711 million in the third quarter from $1,857 million in the second. The filing says the decrease was “primarily driven by lower stock-based compensation expense due to certain option awards becoming fully vested, partially offset by higher cash compensation resulting from headcount growth”.

The People Behind the Numbers

As of 30 September, Anthropic had approximately 5,300 employees, the filing says. It reports that from 30 September 2025 to 30 September 2026, “TTM revenue increased approximately 1,200% while headcount increased approximately 170%, driving TTM revenue per employee from $1.4 million to over $6.6 million”.

The $8.2 billion IPO-date figure is about 48% of Anthropic’s third-quarter revenue of $16,956 million, by our arithmetic. The filing’s $2.0 billion third-quarter donation-matching charge is covered in our piece on Anthropic’s compute bill.

Connecting the Coverage

This follows our report on Anthropic’s $17 billion quarter and $567 million operating loss and why most of its $23.3 billion net loss was a charge on its notes. Our companion pieces today cover Anthropic’s $6.6 billion of operating cash and its 15-times growth in subscription revenue.

The Structural Read

As we read the two filings, the RSUs already granted carry no expense until the registration statement becomes effective, so the cost builds off the income statement and lands in the IPO quarter.

As we read the quarterly lines, the stock pay already recorded fell to $1.1 billion in the third quarter from $1.3 billion in the second, which the filing ties to option awards becoming fully vested.

Three Implications

FOR IPO INVESTORS The amended filing says a further $24.1 billion of RSU expense would be recognised over a weighted-average period of approximately 2.0 years after an IPO completed on 30 September.

FOR EMPLOYEES The amended filing says the RSUs vest on a service condition and on the registration statement becoming effective.

FOR ANALYSTS The amended filing reports stock-based compensation of $3.3 billion for the first nine months of 2026, against $591 million a year earlier.

The Business Engineer Lens

This story maps onto the Business Engineer framework The CFO’s Guide to the Token Economy.

The framework says: “The new job of finance is to manage the ratio between the two โ€” work produced per token burned.”

As we read it, Anthropic reports one company-level version of that ratio for people rather than tokens: TTM revenue per employee of over $6.6 million with approximately 5,300 employees. The framework is the owner’s argument and does not discuss this filing.

What Is Not Established

The $8.2 billion is the filing’s figure for an IPO completed on 30 September; the amount recorded will depend on when the offering is completed. The amended filing leaves the number of RSUs granted after 30 September and their expected expense blank. The 48% comparison and the $5.3 billion increase are our arithmetic.
