Shield AI Valued at $28.8B as It Buys Radar Firm Echodyne

Defense technology company Shield, known as Shield AI, said on 5 November 2026 that it has agreed to acquire radar maker Echodyne in a transaction valued at $5.3 billion, and that it is raising $2.5 billion to support the deal, including $1 billion in Series H funding at a $28.8 billion post-money valuation.

Of the $5.3 billion, $4.8 billion will be paid and issued at closing and up to $500 million more depends on Echodyne meeting agreed performance targets, the company said. The deal is expected to close in early 2027, subject to regulatory approvals.

Business Pill · Complementary Inputs

An evergreen Business Engineer explainer on complementary inputs: things that only work together. It teaches the general idea only and does not discuss Shield or Echodyne.

The key insight: Shield said it will buy Echodyne in a deal valued at $5.3 billion and is raising $2.5 billion, of which the $1 billion Series H is priced at a $28.8 billion post-money valuation; by our arithmetic the money raised equals about 47% of the transaction value.

How the $2.5 Billion Breaks Down

  • $1 billion in Series H funding at a $28.8 billion post-money valuation, co-led by Disruptive and Innovation X Capital, with participation from Advent, the Strategic Investment Group of JPMorganChase’s Security and Resiliency Initiative, Snowpoint Ventures, Apandion, Center15 Capital and others.
  • A $1 billion structured equity investment from funds managed by Blackstone.
  • $500 million in debt financing led by JPMorgan Chase Bank, N.A. as sole arranger.

By our arithmetic, the Series H is 40% of the $2.5 billion and debt is 20%. The $2.5 billion raised equals about 47% of the $5.3 billion transaction value, and the transaction value equals about 18% of the $28.8 billion post-money valuation. Shield said Series H proceeds “will be used principally to fund the acquisition.”

Bloomberg, as summarised by Techmeme, reported that the $28.8 billion valuation is up from $12.7 billion in March. That would be about 2.3 times, by our arithmetic. We could not read the Bloomberg article, and Shield’s release does not give a prior valuation.

What Shield Is Buying

Echodyne designs and makes compact, solid-state radars using its Metamaterials Electronically Scanned Array (MESA) technology, and its radars are built into hundreds of counter-drone and security systems used in more than 40 countries, according to the release. In September, Echodyne received a contract with a $250 million ceiling from Joint Interagency Task Force 401 to supply counter-drone radar to US and allied forces, the release says.

Echodyne, which is based in Kirkland, Washington, recently opened an 86,350-square-foot manufacturing facility, a $40 million investment that will be able to produce about 30,000 radars a year, Shield said. Both companies expect triple-digit revenue growth this fiscal year, according to the release.

“The acquisition of Echodyne dramatically accelerates our efforts to meet growing customer demand for multi-mission capabilities, provides increased access to a rapidly expanding counter-drone industry, and further diversifies our revenue streams,” Shield CEO Gary Steele said in the release. Echodyne CEO Eben Frankenberg said: “Shield shares our view that autonomous systems can only act on what they can sense, and superior sensors lead to superior systems and outcomes.”

How Echodyne Fits Shield

Shield builds Hivemind autonomy software, Aechelon simulation for training and testing, and the V-BAT and X-BAT autonomous systems, according to the release. Steele described the company as three business units: autonomy software, autonomous systems and mission systems. Echodyne will sit in mission systems, with Frankenberg reporting to Steele.

A Shield spokesperson told Breaking Defense there are no planned workforce reductions and that the deal has no impact on its decision to work with RTX for a radar on X-BAT, which the spokesperson said “is separate from this acquisition.” The spokesperson also said the company “will continue to look at acquisitions as part of its growth strategy,” Breaking Defense reported.

The Structural Read

As we read the release, the Echodyne deal adds a hardware product line to a company that already sells autonomy software and drones: Shield describes three units, autonomy software, autonomous systems and mission systems, and Echodyne joins mission systems.

As we read the financing, equity carries most of it: by our arithmetic, $2 billion of the $2.5 billion is Series H and structured equity, and $500 million is debt.

Three Implications

FOR THE DEAL Up to $500 million of the $5.3 billion depends on Echodyne meeting agreed performance targets, the release says.

FOR CAPACITY Echodyne’s new facility will be able to produce about 30,000 radars a year, Shield said.

FOR TIMING The acquisition is expected to close in early 2027, subject to regulatory approvals, according to the release.

The Business Engineer Lens

This story maps onto the Business Engineer framework The Four Intelligence Moats.

The framework says: “If you understand how each data pipeline becomes a moat — and how each moat decays — you understand the strategic structure of the entire AI stack.”

As we read it, Frankenberg’s line that autonomous systems “can only act on what they can sense” describes the sensor as the start of that data pipeline. The framework predates this deal and does not discuss Shield or Echodyne.

What Is Not Established

Shield did not disclose Echodyne’s revenue, how the $4.8 billion paid at closing splits between cash and stock, or the terms of the Blackstone structured equity. The $12.7 billion prior valuation comes from Techmeme’s summary of Bloomberg, which we could not read in full. The deal is not yet closed.

The Bottom Line

Shield said it will buy Echodyne in a deal valued at $5.3 billion and is raising $2.5 billion, including $1 billion of Series H equity at a $28.8 billion post-money valuation. By our arithmetic, the money raised equals about 47% of the transaction value, with the rest of the $4.8 billion paid and issued at closing not broken down in the release.
