Satellite Images Flag Delay Risk in $27.1B Microsoft Deals

Business Insider reported on 4 November that satellite analysis by the research firm Aterio points to possible delays at two data center projects being built to serve Microsoft, one for IREN in Texas and one for Nebius in New Jersey. The two neoclouds’ own filings put the Microsoft contracts tied to those sites at $9.7 billion and up to about $17.4 billion: up to $27.1 billion together, by our arithmetic.

Business Insider wrote: “Although Microsoft didn’t name names, two data center projects from neoclouds Iren and Nebius could be responsible, according to satellite analysis from research firm Aterio”. Nebius’s annual report says its contract gives Microsoft the right to “terminate individual tranches in the event of specified delivery delays”.

The key insight: As we read it, the two sites Business Insider names carry up to $27.1 billion of Microsoft contracts by our arithmetic, and the neoclouds’ own filings set what a late delivery costs them: IREN’s grace periods run to the beginning of Q2 2027, and Nebius’s contract lets Microsoft terminate individual tranches for specified delivery delays.

What the Satellite Analysis Shows

In Texas, IREN is building four data centers under its Microsoft deal. Business Insider reported that an October 21 satellite flyover found one of them, Horizon 4, “was still missing backup power generators and cooling equipment”, and that it risked missing its scheduled delivery by the end of the year, Aterio said.

In New Jersey, Business Insider reported that the data center operator DataOne is developing the project for Nebius, and that “Aterio said roughly 140 megawatts of that project’s planned capacity could slip into 2027”. Aterio data analyst Daud Shiraz told the outlet the project struggled to get permits for its original power generators, then faced more approval delays after switching to fuel cells. Regulators fined DataOne $1 million in September for operating generators without the required permits, Business Insider reported.

IREN and DataOne declined to comment to Business Insider, and Nebius did not respond to its request. A Microsoft spokesperson told the outlet that its “approach to infrastructure is built on flexibility and optionality”.

Microsoft contract value at the two sites Business Insider says Aterio flagged: Nebius, Vineland, New Jersey, up to $17.4 billion over nine tranches, including about $7.0 billion of upfront payments (Nebius Form 20-F, 30 April 2026); IREN, Childress, Texas, $9.7 billion over four tranches (IREN Form 10-K, 27 August 2026). The $27.1 billion total, the 40% upfront share and the approximate $2.4 billion for Horizon 4 are our arithmetic; site delay findings are Aterio’s, as reported by Business Insider on 4 November 2026.

What IREN’s Contract Says

IREN’s annual report on Form 10-K, filed on 27 August, says it will provide Microsoft with dedicated GPU services at its Horizon facilities in Childress, Texas, in four tranches, Horizon 1 to Horizon 4. It says the total contract value “is approximately $9.7 billion through 2031”, with 20% of each tranche’s value paid before its delivery date.

The filing says “Horizon 1 was delivered to, and accepted by, Microsoft in August 2026”, after equipment shortages delayed it, and that Horizon 2-4 is targeted for delivery in phases in calendar Q4 2026, “with grace periods under the Microsoft Agreement for delivery extending from mid-Q4 of calendar 2026 to the beginning of Q2 of calendar 2027”.

It also says “The GPU quantity and the estimated monthly payments are expected to be approximately equal across all four tranches”. On that basis, Horizon 4 is roughly a quarter of the contract, about $2.4 billion, with a prepayment of about $0.5 billion, by our arithmetic. If Microsoft validly terminates a funded tranche and no replacement customer is found, the filing says IREN’s parent has guaranteed the debt allocated to that tranche and “any upfront amount owed to Microsoft on termination”.

What Nebius’s Contract Says

Nebius’s annual report on Form 20-F, filed on 30 April, says it provides Microsoft with dedicated GPU capacity at its new data center in Vineland, New Jersey, over a five-year term, deployed “in nine tranches during 2025 and 2026”. At that filing, the first tranche had been delivered in November 2025 and the second in February 2026.

The 20-F says Microsoft has committed to pay fees estimated at up to $17,392.9 million, “irrespective of actual utilization of the GPU capacity”, including upfront payments of about $6,958.1 million. That is 40% of the contract value paid up front, by our arithmetic. The same filing describes the New Jersey facility as following “a build-to-suit model”.

What Microsoft Said

On Microsoft’s 28 October earnings call, chief financial officer Amy Hood said capital expenditures were $45.2 billion in the quarter, “as some third-party capacity deliveries we expected in Q1 were delayed”. She said Azure’s outlook was helped by efficiency gains offsetting “some 3P GPU as a service contracts that have been delayed to H2”.

Hood said Microsoft expects capital spending of over $50 billion in its second fiscal quarter, so that for the calendar year “spend should be approximately $170 billion due to the 3P capacity delays noted earlier”. Business Insider reported that Microsoft cut its annual capital expenditure forecast by $5 billion and that, in October, Microsoft ended a deal with another neocloud, Nscale, over power-supply delays.

Business Insider also cited the research firm Currence, which estimates that 30% to 50% of data center capacity initially scheduled to come online this year could be pushed into 2027 or later.

The Structural Read

As we read the filings, Microsoft’s protection differs by contract: Nebius lists termination of individual tranches and service credits for specified delivery delays, while IREN describes grace periods and a parent guarantee of tranche debt and any upfront amount owed to Microsoft if a funded tranche is validly terminated.

As we read Hood’s remarks next to the filings, the third-party delays she described moved spending later rather than out of the plan: she said the delayed capacity deliveries shifted to H2, and Business Insider says the two projects could be responsible.

Three Implications

FOR IREN The 10-K targets Horizon 2-4 for calendar Q4 2026 with grace periods to the beginning of Q2 2027, while Business Insider reports Aterio found Horizon 4 still missing backup generators and cooling equipment on 21 October.

FOR NEBIUS Its 20-F puts up to $17,392.9 million of Microsoft fees on Vineland, about 40% of it paid up front by our arithmetic, and Business Insider reports Aterio sees roughly 140 megawatts there that could slip into 2027.

FOR MICROSOFT Hood said calendar-year capital spending should be approximately $170 billion due to the third-party capacity delays, and Business Insider reports Microsoft ended a deal with Nscale in October over power-supply delays.

The Business Engineer Lens

This story maps onto the Business Engineer framework The State of AI Data Centers.

The framework says: “The structural bottleneck isn’t computing, it’s electrons.”

As we read it, Business Insider’s account fits that line at both sites: missing backup generators in Texas, and generator permits and a switch to fuel cells in New Jersey. The framework does not discuss IREN, Nebius or Microsoft’s contracts.

What Is Not Established

We have read Business Insider’s report, not Aterio’s analysis itself, so the satellite findings are as Business Insider describes them. Microsoft did not name the providers behind the delays Hood described, and Business Insider says the two projects “could be” responsible. Neither filing we read says whether Microsoft has used any delay remedy at these sites. The filings predate the October flyover, and the $2.4 billion Horizon 4 figure is an approximation from IREN’s statement that tranches are approximately equal.
