Salesforce said on 20 October 2026 that it has signed a definitive agreement to acquire Braze, the customer engagement platform, for about $5.66 billion in enterprise value. Braze Class A shareholders will receive $47.50 in cash per share, according to Salesforce’s release.
Salesforce says the deal is expected to close in its fiscal year 2028, subject to approval by Braze’s shareholders and regulators. Its shares fell 2.6% in premarket trading, CNBC reported.
Business Pill · SYNERGIES
A one-minute explainer of acquisition synergies. It teaches the general idea only and says nothing about Salesforce or Braze.
The key insight: As we read it, Salesforce is paying cash for a real-time engagement layer and says it expects Braze to plug into all four layers of its architecture, not only Marketing Cloud.
What Salesforce Is Buying
Salesforce describes Braze as a platform that helps marketers respond to customer behavior in real time across mobile apps, websites, email, SMS and WhatsApp. It says Braze powers “trillions of messages and journey actions each year” and serves approximately 2,770 customers, including Canva, Instacart and Venmo.
The release says BrazeAI adds AI-powered optimization across content, offers, channels and timing. Braze is led by co-founders Bill Magnuson and Jon Hyman.

What Was Posted on X
Salesforce posted the announcement on X at 12:01 UTC on 20 October. The post repeats the release’s description of Braze and says that, following close, Braze’s real-time engagement and AI decisioning capabilities are expected to complement all four layers of Salesforce’s architecture: Data 360, Customer 360, Agentforce and SIforce. The price and the closing timeline are in Salesforce’s release, not in this post.
Braze posted its own announcement at 12:26 UTC, saying it is agreeing to be acquired by Salesforce and is excited to join forces to help marketers build deeper relationships with their customers. It links to the release on Braze’s investor site. The deal still needs Braze shareholder and regulatory approval, according to Salesforce’s release.
Where Braze Fits, by Salesforce’s Account
Salesforce says Braze’s real-time engagement and AI decisioning are expected to complement all four layers of its architecture: Data 360, Customer 360, Agentforce and SIForce. Within Customer 360, it says Braze should strengthen Marketing Cloud’s cross-channel personalization.
“Braze was built to turn live customer behavior into personalized engagement at scale,” said Patrick Stokes, Salesforce’s president of applications and marketing, in the release. Braze CEO Bill Magnuson said: “Salesforce’s platform will help us innovate faster.”
The release frames the deal as part of a shift in which marketers “now need agentic solutions that can understand customers, make decisions, and act in real time.” It says Salesforce is moving to lead that shift through both organic innovation and acquisitions that meet its M&A framework’s standards.
Against Salesforce’s Earlier Deals
By the figures in Salesforce’s own announcements, Braze is smaller than its largest software purchases. The company put Slack at about $27.7 billion in enterprise value in 2020, Tableau at $15.7 billion in 2019 and MuleSoft at about $6.5 billion in 2018. It valued Informatica at about $8 billion in 2025, but as equity value net of its existing stake, a different measure.
Salesforce says there is no anticipated change to its fiscal 2027 guidance, and that it has not guided fiscal 2028.
Connecting the Coverage
In September we covered a Business Insider report that Salesforce was in early talks to acquire Listen Labs for a reported ~$2 billion, which Salesforce did not confirm, and Salesforce’s first investment in the enterprise-agent company Wonderful.
Braze’s “AI decisioning” pitch also overlaps with a category we have tracked this month: decision models offered to developers, such as OpenAI’s Decisions API playground.
The Structural Read
As we read it, the release frames the deal around speed of response: marketers, it says, now need agentic solutions that can understand customers, make decisions and act in real time.
As we read it, the scale Salesforce cites is consumer scale: it says Braze powers trillions of messages and journey actions each year for approximately 2,770 customers.
As we read it, the release keeps the financial guidance unchanged: Salesforce says there is no anticipated change to its fiscal 2027 guidance and that it has not guided fiscal 2028.

Three Implications
A CASH DEAL AT A STATED PRICE Salesforce says Braze Class A holders will receive $47.50 in cash per share, about $5.66 billion in enterprise value.
APPROVALS STILL AHEAD Salesforce says closing is expected in its fiscal year 2028, subject to Braze shareholder and regulatory approval.
A SMALLER TICKET THAN PAST DEALS By the values in Salesforce’s own announcements, Braze is smaller than Slack, Tableau, Informatica and MuleSoft; the Informatica figure is a different measure.
The Business Engineer Lens
This story maps onto the Business Engineer framework AI & The Great SaaS Bifurcation.
The framework puts it this way: “The SaaS market is splitting into two irreconcilable extremes—and the middle is being evacuated.”
As we read it, Salesforce positions Braze as a capability across its stack: the release says Braze is expected to complement all four layers of its architecture, while Braze’s CEO says the company will continue building as Braze. The framework was published in December 2025 and does not discuss Salesforce or Braze.
What Is Not Established
The release does not state a premium to Braze’s last close or an equity value, and we have not seen a Braze proxy filing. The deal needs shareholder and regulatory approval.
The Bottom Line
Salesforce agreed on 20 October 2026 to buy Braze for about $5.66 billion in enterprise value, paying $47.50 a share in cash, with closing expected in its fiscal 2028. By the figures in Salesforce’s own past announcements, it is smaller than Slack, Tableau, Informatica and MuleSoft, though the Informatica figure is equity value, a different measure.
