Agility Robotics shares traded at $8.98 at 10:12 a.m. New York time on 5 November, their first day on Nasdaq under the ticker AGLT, according to Nasdaq data. That is 20.26% below the $11.26 reference close and about 10.2% below the $10 a share that PIPE investors led by Foxconn committed to pay, by our arithmetic.

The first regular-session price was $11.35 at 9:30 a.m. The stock touched $8.40 by mid-morning, 25.4% below the reference close, and about 1.35 million shares had traded by 10:12 a.m. The figures are intraday, not a close.

Business Pill · Physical AI

A one-minute explainer of physical AI: AI systems that act in the world through a body. It teaches the general idea only and does not discuss Agility.

The key insight: Agility Robotics traded at $8.98 at 10:12 a.m. New York time on its first day on Nasdaq, per Nasdaq data, about 10.2% below the $10 a share PIPE investors led by Foxconn committed to pay; the proxy’s share counts put the implied market value at about $2.04 billion to $2.41 billion, by our arithmetic.

What the Deal Raised

Churchill Capital Corp XI and Agility said on 2 November that the gross capital raised in connection with the deal and related financings was expected to total approximately $465 million before transaction expenses. Their release listed three parts: approximately $164 million from Churchill XI’s trust account, approximately $201 million from a common stock PIPE committed at $10 per share and led by Foxconn, and $100 million of equity funding already received after the deal was announced.

The proxy statement put the trust at approximately $10.24 per share as of the record date. On that basis, the $164 million left in trust equals about 16.0 million public shares, roughly 39% of the 41.4 million public shares, which means roughly 61% were redeemed, by our arithmetic. The closing 8-K with the final count had not been filed when we checked EDGAR.

The proxy lists 20,102,500 shares for PIPE investors. At $8.98, those shares sit about $20.5 million below the price the PIPE investors committed to pay, by our arithmetic.

What the Price Implies

The proxy’s pro forma ownership table gives a total of 227,191,296 shares if every public share were redeemed and 268,591,296 if none were. At $8.98, those counts imply a market value of about $2.04 billion to $2.41 billion, by our arithmetic. The fairness analysis in the proxy assumed the purchase price in the merger agreement had a value equal to $2.5 billion.

The proxy describes Agility’s strategic investors as including NVIDIA, Amazon, SoftBank, Schaeffler, ABICO Group and Foxconn. The 2 November release described Agility as expected to become the only U.S. publicly listed pure-play humanoid robotics company with proven, active commercial deployments; that is the companies’ own description.

The Market Around the Debut

The listing came on a falling day for technology shares. The FT’s headline read “Nasdaq tumbles 4% as chip rout intensifies in wake of midterms”. Tesla, which is developing its own Optimus humanoid robot, traded at $349.83 at 10:13 a.m., down 9.18%, according to Nasdaq data. We do not attribute Agility’s move to any single cause.

Nasdaq filed a Form 25 for Churchill Capital Corp XI on 4 November, and the combined company began trading as AGLT on 5 November. Our earlier piece on the deal covered the merger terms and Agility’s finances.

Connecting the Coverage

Our related coverage:

The Structural Read

As we read the quotes, the stock opened above its $11.26 reference close at $11.35, then fell below the $10 PIPE price within the first hour, per Nasdaq data.

As we read the filings, about $164 million of the trust remained for a deal the companies said would raise approximately $465 million, so the PIPE and the earlier $100 million of equity funding supplied most of the money.

As we read the day, Agility listed while the FT reported the Nasdaq down 4% on a chip rout; the sources we read do not name a single cause for Agility’s move.

FOR THE SHARE COUNT The final count and redemption total await the closing 8-K; the proxy’s scenarios range from 227,191,296 to 268,591,296 shares.

FOR THE VALUATION The proxy’s fairness analysis assumed the purchase price had a value equal to $2.5 billion.

The Business Engineer Lens

This story maps onto the Business Engineer framework The AI Supercycle.

The framework says: “Every GPU cooling fan, every data-center motor, every robotic actuator, every EUV lithography machine depends on neodymium-iron-boron magnets.”

As we read it, Agility’s listing gives public-market investors a direct price on a company building in that physical layer of AI. The framework predates the listing and does not discuss Agility or its share price.

What Is Not Established

The final share count and the exact redemption total await the closing 8-K, so the market-value range and the redemption estimate are our arithmetic from the proxy. The prices are intraday. We have not read any statement from Agility on its first day of trading.

The Bottom Line

Agility’s first hour of regular trading took the stock from $11.35 to below the $10 its PIPE investors committed to pay. At $8.98, the implied market value of $2.04 billion to $2.41 billion compares with the $2.5 billion value the proxy’s fairness analysis assumed for the purchase price, by our arithmetic; the two figures measure different things.
