Kuaishou Technology said on 30 October that the fundraising for Beijing Kling, the unit behind its Kling AI video-generation model, has been completed, with investors paying approximately RMB19,801.84 million (about USD2,905.33 million) in total, according to its announcement to the Hong Kong stock exchange.
Two investors, Dakang Lanwu and BFI MIDCO, were “not able to complete the payment of its Subscription Price within the given period”, the announcement says, and their remaining commitments were terminated. The round closed at 96.8% of its RMB20,447.10 million cap, by our arithmetic, and the RMB645.26 million shortfall equals the two terminated amounts exactly.

Business Pill · Financial Conditions
An evergreen Business Engineer explainer on how financial conditions shape what companies can raise. It teaches the general idea only and does not discuss Kling AI or Kuaishou.
The key insight: Kuaishou’s Kling AI unit raised about USD2.9 billion while keeping 52.45% of the votes, and its chief executive holds 23.72% of the votes on a 3.02% stake, by the completion table.
What the Filing Says
The terminated amounts were RMB100.00 million still owed by Dakang Lanwu and USD80.00 million (approximately RMB545.26 million) owed by BFI MIDCO. The announcement says the termination “was due to objective reasons not attributable to any party”.
Other investors took over parts of earlier commitments the same day. Kingdee Software (China), a unit of Hong Kong-listed Kingdee International, took on RMB300.00 million. Gongqingcheng Junke took RMB200.00 million, and MetaX Shanghai took RMB100.00 million in two assignments, the filing shows.
The final table lists Hangzhou AliCloud Apsara Information Technology at RMB1,363.14 million and Beijing Baidu Netcom Science Technology at RMB340.79 million. The China Artificial Intelligence Industry Investment Fund, which joined on 31 August, put in RMB1,400.00 million. The largest single contribution listed is RMB1,690.00 million from Shanghai Guofang Digital Technology Enterprise Management Partnership.

Who Controls Kling After the Close
Kuaishou’s holding vehicle Lucky Labs holds 66.68% of the equity in Beijing Kling but 52.45% of the voting rights, according to the completion table. The table assumes the unit’s share-incentive schemes are fully used.
Gai Kun, a director and chief executive officer of Beijing Kling, holds 3.02% of the equity and 23.72% of the voting rights, the same table shows. That is about 7.9 times his equity share, by our arithmetic.
The July announcement explains why: Beijing Kling “will adopt a weighted voting rights structure, which entitles Mr. Gai to ten times the voting power of his shareholdings up to 4%” of its enlarged registered capital. His equity awards were granted “for nil consideration” and are subject to clawback if he leaves within four years.
The outside investors together hold about 16.2% of the equity after the close, by our arithmetic from the registered-capital column, against approximately 16.67% had the cap been filled.
The Price Investors Paid
In July, Kuaishou said its management considered “the pre-transaction valuation of Beijing Kling of USD15.00 billion is supportable from a commercial perspective”.
Investors paid about RMB1,275.6 for each RMB1 of registered capital, by our arithmetic from the completion table. At that price, all 95,670,022 units of registered capital are worth about RMB122.0 billion, or about USD17.9 billion at the announcement’s own conversion rate.
Kuaishou’s second-quarter results say “Kling AI generated revenue of over RMB850 million, representing year-over-year growth of more than 200.0%”. Four quarters at that pace is over RMB3.4 billion a year, which puts the implied value at no more than about 36 times annualised revenue, by our arithmetic.
The Business Lever: A Five-Year Listing Clock
Every investor in the round holds a redemption right. If Beijing Kling has not listed by the Latest Listing Date, investors can ask for their money back at the original price “plus an annual return of 8% calculated on a simple interest basis”, the July announcement says.
The filing defines the Latest Listing Date as “the date falling on the fifth anniversary of the Latest Payment Date”, and the Latest Payment Date as 120 days after signing. With signing on 2 July, that payment date is 30 October 2026, the day the round completed, which puts the listing deadline at 30 October 2031, by our arithmetic.
Five years at 8% simple interest returns 1.40 times the principal. On the RMB19,801.84 million raised, that would be about RMB27.7 billion, by our arithmetic, if every investor held for five years and asked to be repaid. The July announcement says the Beijing Kling Group companies “have agreed to assume joint and several liability” for the repurchase.
A filed listing application pauses the right, the July filing says, unless the offering is not completed within twelve months, the application lapses or is rejected, or it is withdrawn.
The Structural Read
As we read the completion table, outside investors bought about 16.2% of the equity, by our arithmetic, and the weighted voting rights leave Kuaishou and the chief executive with about three quarters of the votes between them.
As we read the July terms, the money comes with a listing clock: redemption at 8% simple interest if there is no listing by the fifth anniversary of the payment date.
As we read the price, investors paid about RMB1,275.6 per unit of registered capital, which values the whole unit at about USD17.9 billion by our arithmetic, against USD15.00 billion before the round.

The Business Engineer Lens
This story maps onto the Business Engineer framework The Nine Layers of AI.
The framework says “Every headline, every valuation move, every strategic decision in the cycle lives inside one of these nine boxes.”
As we read it, Kling sits in the model layer, and the round prices a video-generation model as a business of its own inside a platform company. The framework is the owner’s argument and does not discuss Kling AI or this round.
