Generac’s Data Center Backlog Hits $4.5B After Amazon Deal

Generac said on 28 October 2026 that its backlog for products to be sold to the data center market has grown to approximately $4.5 billion, following its agreement with Amazon and other wins. The generator maker reported record third-quarter net sales of $1.29 billion, up 16%.

“Following the recently announced agreement with Amazon, along with other wins from both new and existing customers, our backlog for products to be sold to the data center market has now grown to approximately $4.5 billion,” Chief Executive Aaron Jagdfeld said in the results release, which Generac filed with the SEC.

An evergreen Business Engineer explainer on backlog, revenue that is signed but not yet earned. It explains the general idea only and does not discuss Generac.

The key insight: By our arithmetic, Generac’s data center backlog of approximately $4.5 billion is about 8 times the $553.0 million of total sales its C&I segment booked in the third quarter.

What Generac Reported

Commercial and Industrial segment external net sales rose about 28% to $552 million, and Residential segment external net sales rose about 9% to $743 million, according to the release. Generac said the C&I segment’s core sales growth was primarily driven by ramping revenue from products sold into the global data center market.

Net income attributable to the company was $109 million, or $1.83 per share, against $66 million a year earlier. Adjusted net income was $151 million, or $2.54 per share, and adjusted EBITDA was $256 million, 19.8% of net sales, the company said. Free cash flow was $132 million, against $96 million a year earlier.

Generac first disclosed the Amazon agreement in a Form 8-K on 16 September 2026. Under it, Generac issued an Amazon subsidiary a warrant to acquire up to 1,693,745 Generac shares at an exercise price of $200.9266 per share, and the two companies executed a long-term supply agreement.

According to the filing, 307,954 warrant shares vested immediately. The rest vest in tranches tied to payments Generac receives from Amazon for backup power generators for Amazon data centers, up to a total of $8 billion. Initial deliveries are expected to total $2.4 billion in 2027 and 2028, and the warrant can be exercised until 16 September 2033.

By our arithmetic, the full warrant equals about 2.9% of Generac’s 58,845,536 weighted average basic shares in the third quarter.

Guidance

Generac kept its 2026 net sales growth guidance in the mid-to-high teens percent range, and its net income margin guidance of about 9.0% to 10.0%. It now expects an adjusted EBITDA margin of about 20.5% to 21.0%, against a previous range of about 20.0% to 21.0%.

Connecting the Coverage

Generac is the third data center power supplier to report this morning. GE Vernova raised its 2026 free cash flow guide to $16B-$17B on a $197 billion backlog, and Vertiv lifted its 2026 sales guide by $650M as its orders doubled.

The Amazon warrant is the reverse of a pattern we covered this week, in which suppliers bought into a customer: Nvidia will invest $3B in Meta’s stock as Meta adds Rubin, and AMD will invest $1B in Meta’s stock as Helios runs at Meta. Here the customer gets the right to buy into the supplier as its payments grow.

The Structural Read

By our arithmetic, 1,385,791 of the 1,693,745 warrant shares, about 82%, did not vest at signing: according to Generac’s 8-K, they vest in tranches as Amazon’s payments for backup generators rise, up to a total of $8 billion.

As we read it, the agreement pairs a supply contract with equity: the 8-K says the long-term supply agreement was executed on the date the warrant was issued.

Generac said its Residential segment returned to strong year-over-year growth, with total sales up about 9% to $744.1 million, while C&I total sales rose about 28% to $553.0 million.

Three Implications

FOR DATA CENTER BUILDERS Generac says initial deliveries of backup generators to Amazon are expected to total $2.4 billion in 2027 and 2028.

FOR AMAZON The warrant lets an Amazon subsidiary buy up to 1,693,745 Generac shares at $200.9266 each, exercisable until 16 September 2033, according to the 8-K.

FOR SHAREHOLDERS Generac kept its 2026 net sales growth guidance in the mid-to-high teens percent range and now expects an adjusted EBITDA margin of about 20.5% to 21.0%.

The Business Engineer Lens

This story maps onto the Business Engineer framework The State of AI Data Centers.

The framework argues that power is the constraint on the AI build-out, putting it plainly: “The structural bottleneck isn’t computing, it’s electrons.”

Generac sells one part of that power equation, backup generators, and its chief executive called the data center market large and rapidly growing. The framework was published in December 2025 and does not discuss Generac.

What Is Not Established

The release does not say how much of the approximately $4.5 billion data center backlog comes from Amazon, or when the backlog will be delivered beyond the $2.4 billion of initial Amazon deliveries expected in 2027 and 2028. The $8 billion is the payment ceiling that governs warrant vesting, not a purchase commitment stated in the filing.

The Bottom Line

Generac said its data center backlog has grown to approximately $4.5 billion after its Amazon agreement, which pairs a long-term generator supply deal with a warrant for up to 1,693,745 Generac shares that vests as Amazon’s payments rise toward $8 billion. Third-quarter net sales rose 16% to a record $1.29 billion.
