Vertiv Lifts 2026 Sales Guide by $650M as Its Orders Double

Vertiv said on 28 October 2026 that its third-quarter net sales rose 61% to $4,313 million and that organic orders grew more than 100% from a year earlier. The data center power and cooling supplier raised its full-year 2026 net sales guidance by $650 million, to $14,650 million at the midpoint.

“We are in the middle of the largest infrastructure buildout and it’s accelerating,” Chief Executive Giordano Albertazzi said in the results release, which Vertiv filed with the SEC.

Business Pill · Vertical integration

An evergreen Business Engineer explainer on vertical integration. It explains the general idea only and does not discuss Vertiv.

The key insight: As we read it, Vertiv is growing in two directions at once: its quarter shows demand for the power and cooling gear inside data centers, and its UIG deal moves it upstream to the grid interconnect, where Vertiv says grid constraints increasingly limit AI infrastructure deployment.

What Vertiv Reported

Vertiv said the 61% rise reflected 55% organic sales growth and about 6% contribution from acquisitions. Operating profit rose 90% to $984 million, and adjusted operating profit rose 83% to $1,087 million, according to the release.

The company put its adjusted operating margin at 25.2%, up 290 basis points from a year earlier. Diluted earnings per share grew 91% to $1.95, and adjusted diluted EPS grew 78% to $2.21, Vertiv said.

Vertiv reported operating cash flow of $794 million and adjusted free cash flow of $652 million, up 64% and 50%. It said liquidity rose to $6.2 billion and that it maintains a net cash position.

Wall St Engine posted that Vertiv shares were up 16% after the Q3 beat and higher full-year outlook, quoting CEO Giordano Albertazzi: “We are in the middle of the largest infrastructure buildout and it’s accelerating.”

Where the Growth Came From

Vertiv said growth was broad-based across all regions, with the Americas up 75% (66% organic), Asia Pacific up 50% (48% organic) and EMEA up 23% (19% organic). Its segment table puts Americas net sales at $2,988.8 million, against $1,712.4 million a year earlier.

By offering, Vertiv reported product sales of $3,593.8 million, up 65.8%, and services and spares of $719.0 million, up 41.5%. The release says: “The data center market continues to generate strong, broad-based global demand, further validating the depth and duration of the growth cycle.”

The Raised Outlook

For the fourth quarter, Vertiv guided net sales of $4,313 million to $4,513 million, with organic growth of 49% to 51%. For full-year 2026, it now guides net sales of $14,450 million to $14,850 million, organic growth of 37% to 39%, and adjusted diluted EPS of $7.10 to $7.20.

Vertiv guided adjusted free cash flow of $2,600 million to $2,800 million for 2026. It said capital expenditures for the year are still expected at about 4.0% of revenue, reflecting investment “to capture increasing demand across its pipelines.”

Two Deals Around the Quarter

A day before the results, Vertiv said it had completed its acquisition of UtilityInnovation Group (UIG) for about $1.45 billion in upfront cash, plus contingent consideration of up to $1.15 billion tied to EBITDA targets. Vertiv said the upfront price represents about 13x expected UIG 2027 EBITDA.

Vertiv described UIG as a leader in microgrid solutions and behind-the-meter power for data centers. “Access to power has become a critical competitive advantage,” Albertazzi said in that release. On 26 October, Vertiv said it had completed the purchase of King Environmental Services, a Europe-based fluid management provider for liquid-cooled data centers; it did not disclose terms.

Connecting the Coverage

Nvidia named Vertiv among the energy and cooling providers for its AI factory designs, as we reported when Nvidia said AI factories can cut cooling water to near zero. Earlier this month, Nvidia said Visionbay’s K-1 platform combines its 800 VDC architecture with Vertiv technology, in our piece on how Nvidia opened its Vera Rubin rack designs.

Other suppliers report the same pull. A day earlier, Seagate posted record EPS as data center sales jumped 63%, and this morning we reported that HP and Asus are moving some PC making back to China on AI costs. The results arrive in the week Microsoft, Alphabet and Amazon report with $1.7T committed.

The Structural Read

As we read it, the Americas carried the quarter: net sales there rose to $2,988.8 million from $1,712.4 million, about 69% of Vertiv’s $4,312.8 million total by our arithmetic.

Vertiv raised its full-year 2026 net sales guidance by $650 million to a $14,650 million midpoint; by our arithmetic, the earlier midpoint was $14,000 million.

Vertiv said the UIG price represents about 13x expected UIG 2027 EBITDA, and that the multiple is anticipated to be significantly lower if the full earnout is paid.

Three Implications

FOR DATA CENTER BUILDERS Vertiv says UIG adds microgrid controls, onsite generation orchestration and behind-the-meter power architecture to its portfolio.

FOR INVESTORS Vertiv guides 2026 adjusted free cash flow of $2,600 million to $2,800 million, and capital expenditures of about 4.0% of revenue.

FOR THE COOLING CHAIN Vertiv says the KES deal expands its thermal management services capabilities into Europe, the Middle East and Africa.

The Business Engineer Lens

This story maps onto the Business Engineer framework The State of AI Data Centers.

The framework argues that power, not computing, limits the AI data center build-out, putting it plainly: “The structural bottleneck isn’t computing, it’s electrons.”

Vertiv pitches its UIG deal on that constraint, saying the capabilities are expected to help data center operators secure power faster as grid constraints increasingly limit AI infrastructure deployment. The framework was published in December 2025 and does not discuss Vertiv.

What Is Not Established

The release does not give a dollar value for orders or the size of Vertiv’s order backlog, so the more than 100% organic orders growth cannot be converted into future sales from the release alone.

The release does not say what share of sales comes from AI workloads specifically, and it does not name customers.

This week’s issue: the AI build is not short of demand for its parts. It is short of cheap money, and its end revenue rests on a narrow base of large, often venture-funded buyers.

The Bottom Line

Vertiv reported third-quarter net sales of $4,313 million, up 61%, with organic orders up more than 100%, and raised its full-year 2026 net sales guidance by $650 million to a $14,650 million midpoint. Around the quarter it closed two data center deals, including UIG for about $1.45 billion upfront.
