A $1T Anthropic IPO Would Be 3.6% Above Its May Round

A $1 trillion valuation for Anthropic’s initial public offering, the figure one investor floated according to Techmeme’s summary of a Wall Street Journal report, would be 3.6% above the $965 billion post-money valuation of Anthropic’s Series H round in May, by our arithmetic.

That is $35 billion above a round announced 162 days earlier. At the expected $1.5 trillion, the figure would be 55.4% above the Series H valuation, by the same arithmetic.

The key insight: A $1 trillion IPO valuation, the figure one investor floated according to Techmeme’s summary of a Wall Street Journal report, would be 3.6% above the $965 billion post-money valuation Anthropic announced for its Series H in May, by our arithmetic; at $1.5 trillion it would be 55.4% above.

What the Private Rounds Were Priced At

Anthropic announced on 28 May 2026: “Anthropic has raised $65 billion in Series H funding led by Altimeter Capital, Dragoneer, Greenoaks, and Sequoia Capital, valuing the company at $965 billion post-money.”

On 2 September 2025 it announced: “Anthropic has completed a $13 billion Series F led by ICONIQ, co-led by Fidelity and Lightspeed, valuing the company at $183 billion post-money.” The Series H valuation was 5.27 times the Series F, by our arithmetic.

The amended Form S-1, filed on 2 November, gives the price per preferred share. It says that “From May 2026 to June 2026, we sold an aggregate of 77,637,878 shares of our Series H-1 redeemable convertible preferred stock at a purchase price of $589.0095 per share”.

The same filing lists Series G-1 shares sold from January to February 2026 at $259.1364 each, and Series F-1 shares sold from August to September 2025 at $140.9676 each. The Series H-1 price is 2.27 times the Series G-1 price and 4.18 times the Series F-1 price, by our arithmetic.

The IPO Figures Being Discussed

The Journal reported that Anthropic “has been expected to raise up to $100 billion in an offering that could value the company at around $1.5 trillion.” Techmeme’s summary of the report says one investor said it “could be closer to $1T”.

Reuters reported that at one point this year Anthropic’s IPO was expected to seek “a valuation as high as $2 trillion.” Against the Series H valuation, $1 trillion is 3.6% higher, $1.5 trillion 55.4% higher and $2 trillion 107.3% higher, by our arithmetic.

What the Filing Says Happens to the Preferred

The filing says the Series A, C-1, D-1, D-2, E-1, F-1, G-1 and H-1 preferred convert into Class A common stock, and other series into Class N common stock, “immediately prior to the completion of this offering”.

Its balance sheet puts the preferred stock’s aggregate liquidation preference at $136,286 million as of 30 September 2026, and convertible notes payable at $130,502 million on the same date.

On Polymarket, the range of a $1.5 trillion to $1.75 trillion closing value on the first trading day was priced at 28.6% when we checked at 00:15 UTC on 6 November, against 55.75% in our reading from Thursday evening. These are traders’ prices, not forecasts.

The Structural Read

As we read the figures together, the gap that matters for private investors is between the IPO price and the $589.0095 per-share price the Series H-1 buyers paid, as given in the filing.

As we read the filing, the preferred becomes common stock just before the offering, so after the listing the preferred holders own common stock; the comparisons here are headline valuations, not returns.

“valuing the company at $965 billion post-money”

Three Implications

FOR SERIES H BUYERS At $1 trillion the headline valuation is $35 billion, or 3.6%, above the $965 billion of May, by our arithmetic.

FOR EARLIER ROUNDS At $1 trillion the headline valuation is 5.46 times the $183 billion Series F valuation of September 2025, by our arithmetic.

FOR THE FILING The S-1/A puts the preferred stock’s aggregate liquidation preference at $136,286 million as of 30 September 2026.

The Business Engineer Lens

This story maps onto the Business Engineer framework The AI Supercycle.

The analysis says: “Conflating these clocks produces the most common analytical errors of the moment.”

As we read it, a private round priced in May and a listing priced after a market selloff sit on different clocks, which is why the same company can carry $965 billion and $1 trillion months apart. The framework predates these reports and does not discuss them.

What Is Not Established

These comparisons use headline valuations only. They are not investor returns, because they leave out dilution from the offering, the conversion of convertible notes, options and RSUs, and differences between share classes. Anthropic has not set a price range in a public filing, so the IPO valuation is not established.

A note on sourcing. Round valuations are from Anthropic’s own announcements; share prices, the liquidation preference and the conversion terms are from its Form S-1/A filed on 2 November. The $1 trillion figure is from Techmeme’s summary of The Wall Street Journal’s report, and the $2 trillion figure from Reuters.
