CoreWeave’s executive vice president of product and engineering, Chen Goldberg, sold 19,904 shares for about $925,500 on 5 November, according to a Form 4 filed with the SEC on 6 November. The filing says the shares were “sold to satisfy the reporting person’s tax withholding obligations, which were incurred in connection with the vesting and settlement of restricted stock units”.
Across the eight CoreWeave Form 4s filed from 7 October to 6 November 2026, four executives reported sales totalling about $6.08 million, by our count. None of the eight filings reports a purchase.
Business Pill · Financial Conditions Explained
A short explainer on financial conditions, how the price and availability of money move markets. It teaches the general idea only and does not discuss this story.
The key insight: By our count, every CoreWeave executive share sale filed in the month to 6 November was made under a pre-set Rule 10b5-1 plan or to cover tax on vesting stock, per the filings’ footnotes, and none of the eight filings reports a purchase.
The Four Sellers
Goldberg’s sale came the day 37,500 restricted stock units vested, the filing shows, at $46.50 and $46.455 a share (Form 4). Jeff Baker, principal accounting officer, sold 6,670 shares for about $407,900 on 29 October, also to cover tax on vesting units, the same wording appears in Baker’s filing (Form 4).
Chief financial officer Nitin Agrawal sold 22,582 shares for about $1.81 million on 12 October. Agrawal’s filing says the sale was “effected pursuant to a Rule 10b5-1 trading plan adopted by the reporting person on August 27, 2025 and modified on November 18, 2025” (Form 4). An 8 October filing shows a 3-share sale on 6 October under the same plan (Form 4).
Chief revenue officer Jonathan Jones sold 37,380 shares for about $2.94 million on 12 and 13 October. Per the footnotes, the 12 October sale of 15,811 shares covered tax on 42,772 vesting units, and the 13 October sales were executed under a Rule 10b5-1 plan Jones adopted on 18 June 2026 (Form 4).

Planned Sales and Tax Sales
A Rule 10b5-1 plan is a trading plan an insider adopts in advance, and sales under it follow the plan’s set terms. A tax-withholding sale is made when restricted stock units vest, to pay the tax due on them. The CoreWeave filings mark every one of the eleven sale lines as one or the other, by our reading of the footnotes.
By our arithmetic, about $3.48 million, 57.2%, of the $6.08 million was sold under 10b5-1 plans, and about $2.60 million, 42.8%, was sold to cover tax on vesting units. The other three filings in the window record share awards to two directors and the vesting of units for a third, with no sales.
The Price Path
The reported sale prices trace the stock’s fall. Agrawal’s 6 October sale was at $88.60 a share; Goldberg’s 5 November sale was at $46.50, about 47.5% lower, by our arithmetic. In our scorecard of six AI cloud stocks, CoreWeave fell from $54.87 to $43.66 between the 30 October and 5 November official closes (our piece).
Our Numbers
By our count of the eight Form 4s CoreWeave filed from 7 October to 6 November 2026: four sellers, eleven sale lines, about $6.08 million sold, 57.2% under 10b5-1 plans, 42.8% to cover tax on vesting units, and no purchases. The $925,500 figure is Goldberg’s two 5 November sale lines added together.
Connecting the Coverage
The month of CoreWeave filings is small next to the $7.4 billion of AI insider sales a Protos tally counted from May to October (our piece). It lands in the same weeks as the fall in AI cloud shares and CoreWeave’s bond yields (our piece), and the debt load we tracked across CoreWeave and five other AI cloud operators (our piece).
The Structural Read
As we read the filings, the headline $925,500 sale is the smallest kind of insider decision: shares withheld and sold the day units vest, to pay the tax due on them.
As we read the footnotes, the two larger sellers, the CFO and the chief revenue officer, sold mostly under plans adopted in August 2025 and June 2026, months before the November selloff.
As we read the price column, the same month of filings records the stock at $88.60 on 6 October and $46.50 on 5 November.

Three Implications
FOR READING INSIDER-SALE HEADLINES A Form 4 footnote says whether a sale was under a 10b5-1 plan or to cover tax; in this month, those two categories account for all $6.08 million, by our count.
FOR COREWEAVE HOLDERS No executive or director reported buying shares in the eight filings, and three filings record director awards and vesting with no sale.
FOR THE AI CLOUD SELLOFF The filings sit beside a 20.4% fall in CoreWeave between the 30 October and 5 November closes, per our scorecard, and a 16.33% yield on its 2031 notes.
The Business Engineer Lens
This story maps onto the Business Engineer framework The AI Capex Map.
The analysis says: “It is a sovereign-scale financing problem dressed in tech-company clothing — and the financial architecture is starting to invert.”
As we read it, insider sales are a small window onto the equity side of that financing; the analysis does not discuss CoreWeave executives’ filings.
What Is Not Established
Form 4s report what was sold and under which arrangement; they do not give reasons beyond the footnotes. Nothing here says why any plan was adopted or what any executive expects for the stock. Our window covers the Form 4s listed on CoreWeave’s EDGAR page for 7 October to 6 November 2026 (EDGAR list); filings made outside it are not counted.
The Bottom Line
The $925,500 CoreWeave insider sale on 5 November was a sale to cover tax on vesting stock, its Form 4 says. Over the month to 6 November, four executives sold about $6.08 million, 57.2% under pre-set 10b5-1 plans and 42.8% to cover tax, and none reported a purchase.

A note on sourcing. Every sale here comes from CoreWeave’s Form 4 filings on SEC EDGAR, each linked in the text; the reason given for each sale is the filing’s own footnote. The totals, the 57.2% and 42.8% split and the price change are ours. Nothing here is investment advice.
