Nvidia-Backed Iambic Prices $150M Nasdaq IPO at $16 a Share

Iambic Therapeutics said on 14 October 2026 that it priced its initial public offering of 9,375,000 shares at $16.00 each, for expected gross proceeds of $150.0 million, with trading on the Nasdaq Global Select Market under the ticker IAM set to begin on 15 October.

The San Diego company, which pairs its own AI models with automated chemistry and biology, counts NVIDIA among its backers: its registration statement shows NVIDIA bought $20 million of its Series B preferred stock and $5 million in a later Series B-4 round.

Business Pill · FINANCIAL CONDITIONS

A one-minute explainer of financial conditions: how the cost and availability of credit move across markets. It teaches the general idea only and says nothing about any organisation in this story.

The key insight: As we read it, the filing shows where most of the money goes: the use-of-proceeds section leads with clinical trials, from IAM1363’s Phase 1 to a planned Phase 3, alongside continued investment in the platform, so public buyers are funding the drug pipeline the platform produced as well as the platform.

The Terms of the Offering

All 9,375,000 shares are being sold by Iambic itself, the company says, and it has given the underwriters a 30-day option to buy up to 1,406,250 more at the offering price. The offering is expected to close on 16 October 2026.

J.P. Morgan, Jefferies, BofA Securities and Citigroup are acting as joint book-running managers, according to the release. The registration statement became effective on 14 October 2026.

Iambic’s S-1/A, filed on 8 October, estimated net proceeds of about $135.0 million, or about $155.9 million if the underwriters exercise their option in full, at an assumed price of $16.00, the midpoint of its range. The shares priced at that midpoint.

Iambic priced 9,375,000 shares at $16.00 on 14 October 2026 for expected gross proceeds of $150.0 million; about $758 million at $16 is our arithmetic from the S-1/A share count.

What the Company Is Worth at $16

The S-1/A bases its share figures on 38,025,796 shares of common stock outstanding as of 30 June 2026, after the conversion of its preferred stock. Adding the 9,375,000 new shares gives 47,400,796, which at $16 comes to about $758 million, by our arithmetic.

On the filing’s own full-exercise example, existing holders would own 77.9% of the shares outstanding after the offering and new investors 22.1%.

Where the Money Goes

Iambic says it intends to use the net proceeds, with its existing cash, to advance IAM1363 through its ongoing Phase 1 trial. It plans to start one or more Phase 2 trials intended to support potential applications for accelerated approval, subject to FDA feedback, and then a Phase 3 trial.

The filing lists two more programs, IAM217 and IAM-C1, each heading into a Phase 1/2 trial, and continued investment in what the company calls its “molecular superintelligence platform”.

IAM1363 is described in the filing as an oral HER2 inhibitor that, as of September 2026, is in a Phase 1/1b trial in patients with HER2-altered solid tumors. The filing says that “we advanced our first drug candidate into the clinic in approximately two years.”

The Losses and the Runway

Iambic’s net losses were $77.3 million in 2025 and $47.9 million in 2024, and $50.1 million in the first half of 2026, against $33.2 million a year earlier, according to the S-1/A. It reported an accumulated deficit of $245.3 million as of 30 June 2026.

The company had $207.9 million of cash and cash equivalents at 30 June 2026. It estimates that its cash and cash equivalents as of the date of the prospectus, with the offering’s net proceeds, will fund operating expenses and capital expenditures “into or through the fourth quarter of 2028,” a figure it calls a forward-looking statement.

NVIDIA’s Two Roles

NVIDIA appears in the filing twice. It is listed among Iambic’s partners, alongside Lambda, Revolution Medicines, Jazz Pharmaceuticals and Bayer, and it is an investor.

The related-party tables show NVIDIA Corporation buying 1,536,034 Series B preferred shares for $20 million and 291,658 Series B-4 shares for $5 million. The filing notes that NVIDIA held more than 5% of Iambic’s capital stock at the time of the Series B financing.

A Listing Into a Selloff

The pricing lands during a sharp repricing of AI-linked shares and credit, which we covered as the AI selloff’s second day. As we read it, Iambic’s pitch differs from the infrastructure names: it is selling a pipeline built on AI rather than the hardware or the data centres behind it.

Earlier this week we also covered the deal in which Zealand Pharma licensed Generate’s AI protein platform, and Agilent’s agreement to buy the AI pathology company Proscia.

The Structural Read

As we read it, NVIDIA’s place in the filing is double: it is listed as a partner and, in the related-party tables, as a Series B and Series B-4 investor that put in $25 million, so the chip supplier also sits on the cap table of an AI drug developer.

As we read it, the runway estimate is the number public buyers will test: the company says its cash and the offering’s net proceeds fund operations into or through the fourth quarter of 2028, while net losses rose from $33.2 million to $50.1 million between the first halves of 2025 and 2026.

As we read it, pricing at the $16.00 midpoint of the range during a week of AI-linked selling suggests demand held for a drug pipeline even as infrastructure credit was repriced, though the filing and release say nothing about the order book.

Three Implications

PUBLIC INVESTORS Iambic priced 9,375,000 shares at $16.00 for expected gross proceeds of $150.0 million, with Nasdaq trading under IAM set for 15 October, per its release.

THE PIPELINE The S-1/A says the net proceeds will advance IAM1363 through Phase 1 and into Phase 2 and Phase 3 trials, and take IAM217 and IAM-C1 into Phase 1/2 trials.

NVIDIA The filing lists NVIDIA as a partner and shows it buying $20 million of Series B and $5 million of Series B-4 preferred stock.

The Business Engineer Lens

This story maps onto the Business Engineer framework The Four Intelligence Moats.

The framework describes “The Verifier Moat โ€” built by RLVR on domain-specific reward signals, building into a new asset class for reasoning-heavy verticals.”

As we read it, Iambic’s approach can be seen through that lens by analogy: the company’s release says it integrates proprietary AI with automated, scalable chemistry and biology experimentation, which is the kind of domain-specific feedback loop the framework describes; Iambic itself does not use that term.

Iambic net losses: $47.9M in 2024, $77.3M in 2025, $33.2M in H1 2025, $50.1M in H1 2026, per its S-1/A
Iambic’s net losses, per its S-1/A filed on 8 October 2026: $47.9 million in 2024, $77.3 million in 2025, $33.2 million in the first half of 2025 and $50.1 million in the first half of 2026.

What Is Not Established

The share count used for the valuation comes from the S-1/A as of 30 June 2026; the final prospectus, not yet on EDGAR when we wrote this, may state a different number of shares outstanding.

The release does not give first-day trading figures, and the filing does not give NVIDIA’s percentage stake after the offering in the sections we read.

The Bottom Line

Iambic Therapeutics priced 9,375,000 shares at $16.00 on 14 October 2026 for expected gross proceeds of $150.0 million, with Nasdaq trading under IAM set for 15 October.

Its filing shows NVIDIA invested $25 million across two preferred rounds, and its cash plus the offering is expected, by the company’s estimate, to last into or through the fourth quarter of 2028.

A note on sourcing. We read Iambic’s pricing release of 14 October 2026 in full and the cited sections of its S-1/A registration statement filed with the SEC on 8 October 2026. The final prospectus was not yet on EDGAR when we wrote this, so the share count behind the roughly $758 million value, which is our own arithmetic, comes from the S-1/A. The selloff, Zealand and Agilent items come from our own earlier reporting.
