Meta is holding investor calls for a multi-tranche dollar and euro bond sale, according to headlines carried on X at 15:56 UTC on 2 November. No size was given, and Meta had filed no prospectus supplement for the sale when we checked its SEC filings at about 16:03 UTC and again at 16:08 UTC.
Meta was the third large AI spender to line up a sale that day. Oracle filed to sell $10 billion of senior notes and $10 billion of common stock, and Alphabet is set to raise €6 billion from its second euro bond sale of 2026, about $6.73 billion according to a headline citing Bloomberg.
By our arithmetic, the bond sales with a reported size on 2 November come to about $16.7 billion: Oracle’s $10 billion of notes plus about $6.73 billion for Alphabet. Meta’s calls follow a stock and preferred sale of about $37.5 billion that it filed on 28 October.
Update, 2 Nov: Metaโs size. Meta is eyeing at least $20 billion in a potential US dollar and euro bond sale, according to headlines citing Bloomberg carried on X between 17:38 and 17:42 UTC. Earlier reports said Meta may sell dollar bonds in five parts and euro notes in six parts, with Citigroup and Morgan Stanley holding investor calls on Monday and Tuesday. By our arithmetic, that takes the bond sales with a reported size on 2 November to at least about $36.7 billion: Oracleโs $10 billion of notes, about $6.73 billion for Alphabet and at least $20 billion for Meta, whose figure is a minimum. The deal had not been priced, and Meta had filed no prospectus supplement or free writing prospectus for it with the SEC when we checked at 17:49 UTC.
The key insight: Meta is holding investor calls for a multi-tranche dollar and euro bond sale, according to headlines carried on X, on the same day Oracle filed to sell $10 billion of notes and Alphabet set a €6 billion euro sale; by our arithmetic the bond sales with a reported size come to about $16.7 billion, and Meta’s calls follow about $37.5 billion of stock and preferred stock it filed to sell on 28 October.
What Was Reported on 2 November
Three accounts that relay market headlines, @DeItaone, @FirstSquawk and @zerohedge, posted the same line between 15:56 and 16:00 UTC: “META HOLDS CALLS FOR MULTI TRANCHE DOLLAR AND EURO BOND SALE”. The posts gave no deal size, tranche list or timing.
Earlier the same day, Oracle filed two preliminary prospectus supplements with the SEC, one for $10 billion of senior notes in six series and one for $10 billion of common stock, as we reported. Neither had been priced when filed. Alphabet’s euro sale was reported by Bloomberg headlines carried on X, with the €6 billion size and a dollar figure of $6.73 billion.

What Meta Sold in October
Meta’s final prospectus supplements, filed on 28 October, describe two offerings. The first is 40,000,000 shares of Class A common stock at a public offering price of $625.00 a share, $25.0 billion in total, sold through forward sale agreements with Morgan Stanley Capital Services and Goldman Sachs.
Meta says it expects to receive net proceeds of “approximately $24.9 billion” when the forward sale agreements settle, which it expects “to occur on or prior to November 19, 2027”.
The second is 250,000,000 depositary shares at $50.00 each, $12.5 billion in total, each representing a 1/20th interest in a share of Meta’s 6.50% Series A Mandatory Convertible Preferred Stock. Meta says it intends to use the net proceeds “for general corporate purposes”.
By our arithmetic, the two October offerings come to about $37.5 billion before the underwriters’ options. That is equity and preferred stock, so we keep it separate from the bond totals above.
How Meta’s Balance Sheet Looked Going In
S&P Global Ratings revised its outlook on Meta to negative from stable on 30 October and kept the AA- rating, as we reported. By our arithmetic from Meta’s filings, its purchases of property and equipment were 103.5% of operating cash flow in the third quarter: $33.9 billion against $32.8 billion.
Meta’s notes include $30.0 billion issued in November 2025 and notes issued in May 2026 at rates up to 6.45%, and its long-term debt had a face value of $84.0 billion, according to figures in our 1 November piece. The $27.3 billion bond that financed its Hyperion data center campus pays 6.581%, IFR reported, and IFR says that bond is not on Meta’s balance sheet.
Connecting the Coverage
Oracle’s two filings matched the $20 billion limit on new capital raises it set at its Investor Day on 28 October, five days earlier. Alphabet’s €6 billion is about a third smaller than the €9 billion it sold in May, by our arithmetic in our earlier piece. On 1 November we reported that the cost of protecting against a debt default at Amazon, Alphabet, Microsoft, Meta and Oracle had widened to the highest levels going back to 2021, according to The Wall Street Journal, citing the bond data provider Solve.
The Structural Read
As we read the filings, Meta raised equity first: its 28 October prospectus supplements describe $25.0 billion of common stock through forward sale agreements and $12.5 billion of mandatory convertible preferred stock, before any new bond terms were filed.
As we read our earlier pieces, all three companies came to market after the cost of protecting against a default at Alphabet, Meta and Oracle widened over the past month to the highest levels going back to 2021, as The Wall Street Journal reported on 1 November, citing Solve.

Three Implications
FOR BOND INVESTORS Meta’s deal size, tranches and pricing were not in the headlines, and Meta had filed no terms with the SEC when we checked at about 16:08 UTC.
FOR META S&P revised Meta’s outlook to negative on 30 October and kept its AA- rating; by our arithmetic Meta’s third-quarter capital spending was 103.5% of its operating cash flow.
FOR THE AI DEBT MARKET By our arithmetic, Oracle’s $10 billion of notes and Alphabet’s roughly $6.73 billion euro sale come to about $16.7 billion on 2 November, before any Meta amount.

The framework argues: “It is a sovereign-scale financing problem dressed in tech-company clothing”.
As we read it, three borrowers lining up sales on one day is one view of that financing question. The framework is the owner’s argument and does not discuss the 2 November sales.
