Marvell’s Lumentum Deal Seen All-Stock as Shares Lose $26B

CNBC’s David Faber said on Friday, 30 October 2026, that Marvell Technology’s potential acquisition of Lumentum “is not at a big premium” for Lumentum and will be all stock, according to a Seeking Alpha report of his comments. A transaction may be announced as soon as mid-week next week, Seeking Alpha wrote.

By our arithmetic, at 14:26 UTC prices and with no premium, Lumentum holders would receive about 4.03 Marvell shares per share and own about 29.2% of the combined company. Also by our arithmetic, at those prices Marvell and Lumentum had together lost about $25.9 billion of market value since the 29 October close.

The key insight: By our arithmetic, at 14:26 UTC prices and with no premium, Lumentum holders would receive about 4.03 Marvell shares per share and own about 29.2% of the combined company, after CNBC’s David Faber said the deal will be all stock and not at a big premium.

What CNBC Reported

Seeking Alpha’s report, published at 13:41 UTC, says the deal “will be all stock” and quotes Faber that it “is not at a big premium”. It notes that Bloomberg reported on Wednesday that Marvell is in advanced discussions to buy Lumentum.

Wall St Engine wrote on X at 14:08 UTC that Faber reports the deal “is expected to be an all-stock deal, with no significant takeover premium”, and that the two companies “have reportedly largely agreed on valuation”.

What Was Posted on X

Wall St Engine wrote on X that CNBC’s David Faber reports Marvell’s potential acquisition of Lumentum is expected to be an all-stock deal with no significant takeover premium, and that the two companies have reportedly largely agreed on valuation.

The Arithmetic of a No-Premium Swap

Marvell traded at $200.27 and Lumentum at $807.37 at 14:26 UTC, according to Yahoo Finance. Marvell’s 10-Q lists 876.9 million shares and Lumentum’s 10-K lists 89.7 million, the counts used in our piece on Marvell’s one-day loss.

By our arithmetic, that puts Marvell at about $175.6 billion and Lumentum at about $72.4 billion. A swap at those prices would issue about 361.6 million new Marvell shares. Lumentum holders would own about 29.2% of a combined $248.0 billion.

These figures are illustrative. They use intraday prices and filing-date share counts, and they are not deal terms, which neither company has announced.

How the Two Stocks Moved

Marvell was down 8.28% from its 29 October close of $218.34, and Lumentum was down 12.20% from $919.53, at 14:26 UTC. By our arithmetic, that is about $15.8 billion off Marvell and about $10.1 billion off Lumentum.

Since its 28 October close of $251.65, before Bloomberg’s report, Marvell is down 20.42%, about $45.1 billion by our arithmetic. For the wider chip market on Friday, see our board of the US open.

Connecting the Coverage

Our first piece on the talks set out Lumentum’s filings, including fiscal 2026 revenue of $3,014.0 million, up 83.2%. Our second covered Marvell’s $29 billion one-day loss. We also covered Marvell’s fiscal 2031 forecast.

The Structural Read

As we read Faber’s reported comments, an all-stock deal without a big premium leaves the split of the combined company to the two share prices on the day terms are set.

As we read the price moves, Lumentum’s value relative to Marvell’s was about 41.2% at 14:26 UTC by our arithmetic, below the about 43% our earlier piece computed at the 29 October close.

As we read the reports, neither company has confirmed talks, so the structure, premium and timing rest on Faber’s comments as relayed by Seeking Alpha and Wall St Engine.

“is not at a big premium”

Three Implications

FOR LUMENTUM HOLDERS By our arithmetic, at 14:26 UTC prices a no-premium swap would value their stake at about $72.4 billion, about 29.2% of the combined company.

FOR MARVELL HOLDERS By our arithmetic, a swap at those prices would issue about 361.6 million new Marvell shares against 876.9 million listed in its 10-Q.

FOR TIMING Seeking Alpha wrote that a transaction may be announced as soon as mid-week next week, citing Faber.

The Business Engineer Lens

This story maps onto the Business Engineer framework The AI Capex Map.

The framework sets out to map the financing of AI: “How the money flows, where it cracks, what it buys, who can absorb it”.

As we read it, an all-stock structure answers “how the money flows”: Marvell would pay in its own shares rather than cash. The framework was published in May 2026 and does not discuss Marvell or Lumentum.

What Is Not Established

Neither company has announced a deal or confirmed talks in a filing or release we have seen. The all-stock structure, the premium and the timing come from Faber’s reported comments. The exchange ratio and ownership split are our arithmetic, not terms.
