Google’s Anthropic Loop: $114.5B Committed, $30B Funding

Anthropic has committed to spend at least approximately $114.5 billion with Google between April 2026 and July 2033, “regardless of actual usage”, while Google holds an agreement to fund Anthropic with up to $30.0 billion more, according to the Form S-1 Anthropic filed with the SEC on 26 October 2026. Requests for that funding, the S-1 says, are “driven by the achievement of certain conditions under certain third-party compute agreements” and specified revenue targets.

Google’s cash investments described in the S-1 add up to about $13.3 billion, by our arithmetic: $2.0 billion of notes under a 2023 agreement, approximately $1.3 billion under a 2024 agreement and $10.0 billion in the Series H round in May 2026, which cut the 2026 facility to $20.0 billion.

Business Pill · CONCENTRATION

A short Business Engineer explainer on concentration. It teaches the general idea only and says nothing about Google, Anthropic or their filings.

The key insight: As we read it, the new element is that Anthropic’s spending commitment to Google, at least about $114.5 billion, is more than eight times Google’s cash investment of about $13.3 billion, by our arithmetic, and further Google funding is tied to compute agreements and revenue targets.

The Legs of the Loop

The S-1 says that if Anthropic’s actual spend falls short, it must pay Google the difference as a true-up, and that the commitment is non-cancelable except in the event of Google’s uncured material breach. It also commits Anthropic to more TPU compute from TPU providers, including Google, for 2028 to 2031, outside its commitments table.

The flows between Google and Anthropic as filed: Google’s cash investments (about $13.3B, our sum) and remaining $20.0B facility, Anthropic’s commitment of at least about $114.5B to Google and an estimated $125B-$150B of additional TPU compute, Google Cloud’s $513.9B backlog and Alphabet’s $99.0B Q2 2026 equity gains, which it does not attribute to Anthropic.

Funding Tied to Compute and Revenue Targets

The Google 2026 agreement allows up to $30.0 billion of notes or non-voting shares through 31 December 2030; notes would carry 9.0% interest. Each issuance is funded over five quarterly closings unless Google elects a single closing, and Google may defer funding of revenue-linked draws. Share issuances are limited so that Google’s ownership does not exceed 14.99%, unless Google waives the cap; any excess is funded through a non-interest-bearing rollover note.

The same agreement included a commitment to sell Google 38.6 million Series G-2 shares at $259.1364, about $10.0 billion by our arithmetic. Anthropic marks that agreement and Amazon’s to market each period: the S-1 records a $9.4 billion charge for the first half of 2026 for the two together, without a split. The S-1 also notes that “The Company also has a commercial agreement with Google for the provision of intelligence service.”

What Alphabet’s Filing Shows, and Does Not Name

Alphabet reported $98.0 billion of other income for the second quarter of 2026, including net gains on equity securities of $99.0 billion, “primarily related to unrealized gains in our equity securities portfolio from SpaceX and a private company”. Its income from operations was $40.8 billion. Google Cloud revenue rose to $24.8 billion from $13.6 billion a year earlier, with operating income of $8.8 billion, and Google began recognising revenue from TPU system sales in the quarter.

Alphabet does not name Anthropic in that 10-Q; our full-text search of Alphabet’s 2025 and 2026 10-Q, 10-K and 8-K filings on EDGAR found no mention. It does describe, without naming the company, that “a certain strategic investment includes forward funding commitments that are accounted for as equity derivatives”, with exercise contingent on specified operational and financial milestones.

Connecting the Coverage

Our Amazon piece shows the same structure with Amazon, where the filer names Anthropic and records about $62.8 billion of first-half upward adjustments. Our SpaceXAI piece covered Anthropic’s up to $120.5 billion contract with SpaceX’s AI unit; Alphabet attributes its gains primarily to SpaceX and a private company. Our fundraising piece covered the $65.2 billion Series H, where Google put in $10.0 billion. The S-1 notes that Amazon, Google and Microsoft “have made significant equity investments in our company”.

The Structural Read

As we read it, the Google 2026 agreement links the money to the compute: the S-1 says requests for funding are driven by conditions under third-party compute agreements and by revenue targets.

As we read it, Alphabet’s side is less legible than Amazon’s: its 10-Q attributes $99.0 billion of second-quarter equity gains primarily to SpaceX and a private company it does not name.

As we read it, the estimated $125 billion to $150 billion of additional TPU compute for 2028 to 2031 sits outside Anthropic’s commitments table, so the $114.5 billion figure does not include it.

Three Implications

FOR INVESTORS IN ALPHABET Alphabet’s 10-Q reports $99.0 billion of second-quarter net gains on equity securities, against $40.8 billion of income from operations, and names SpaceX but not the private company.

FOR INVESTORS IN ANTHROPIC The S-1 commits Anthropic to at least about $114.5 billion with Google regardless of actual usage, with a true-up if spend falls short.

FOR READERS OF BOTH FILINGS Neither filing says how much of Google Cloud’s $513.9 billion backlog comes from Anthropic.

The Business Engineer Lens

This story maps onto the Business Engineer framework The AI Capex Map & The State of AI Hyperscalers.

The framework argues that “The $1T capex cycle is being underwritten by a $1T concentrated demand commitment from two counterparties whose combined free cash flow is deeply negative.” It names OpenAI and Anthropic as those two counterparties.

As we read it, Anthropic’s S-1 shows one of those demand commitments from the inside: at least about $114.5 billion to Google, with Google’s further funding tied to compute agreements. The framework was published in May 2026 and does not discuss this filing.

What Is Not Established

Alphabet does not say whether the private company behind its gains is Anthropic, or how much of its $513.9 billion Google Cloud backlog comes from Anthropic. The S-1, in the passages we read, does not say when the 38.6 million G-2 shares were sold, how much Anthropic paid Google in the first half of 2026, or how its approximately 48% of revenue through cloud marketplaces splits by cloud. Alphabet reports third-quarter results on 28 October, according to the Nasdaq earnings calendar. Both companies disclose these arrangements in their filings.

This week’s issue: the AI build is not short of demand for its parts. It is short of cheap money, and its end revenue rests on a narrow base of large, often venture-funded buyers.

The Bottom Line

Anthropic’s S-1 commits it to at least approximately $114.5 billion of spending with Google through July 2033 regardless of usage, while Google has invested about $13.3 billion by our sum and holds $20.0 billion more of funding capacity whose draws are tied to compute agreements and revenue targets; Alphabet’s own filing reports $99.0 billion of second-quarter equity gains without naming Anthropic.

A note on sourcing. Figures are from Anthropic, PBC’s Form S-1 filed with the SEC on 26 October 2026 and Alphabet Inc.’s Form 10-Q for the quarter ended 30 June 2026; totals labelled as ours are our arithmetic.
