AdaniConneX, a joint venture of Adani Enterprises, has agreed to buy 100% of Vizag Mega Data Center Park Limited for INR 1,085,51,42,595, or about โน1,085.5 crore, in cash, Adani Enterprises told India’s stock exchanges on 6 November (filing).
The seller is Adani Infra (India) Limited. The filing says the target “is yet to commence commercial activities”, reported nil turnover and was incorporated on 3 February 2026. At the European Central Bank’s 6 November reference rate of 93.92 rupees per dollar, the price is about $115.6 million, by our arithmetic.
Business Pill · Vertical Integration
An evergreen Business Engineer explainer on vertical integration. It teaches the general idea only and does not discuss Adani, AdaniConneX or Vizag.
The key insight: AdaniConneX, a joint venture of Adani Enterprises, agreed on 5 November to buy all of Vizag Mega Data Center Park Limited from Adani Infra for INR 1,085.51 crore in cash; the target was incorporated in February, has nil turnover and owns land and licences, according to the 6 November filing.
What the Filing Says
AdaniConneX “has executed a Share Purchase Agreement” on 5 November with Vizag Mega Data Center Park Limited and Adani Infra (India) Limited “to acquire 100% stake in VMDCPL”, the filing says. Adani Enterprises says it received the information on 6 November at 11:49 AM.
The consideration is “Cash consideration against shares”. The filing says no governmental or regulatory approvals are required and that the acquisition “is expected to be completed by November 10, 2026”.
On the target, the filing lists authorised and paid-up share capital of INR 1,00,000 each and a turnover of nil. It says the company owns a “sizeable land parcel and have secured key licenses to commence infrastructure activities, which would give a head start to ACX”. The stated object of the deal is “to set up infrastructure facilities”.

Promoter-Group Control and Related-Party Status
The filing says “The target entity is controlled, directly/ indirectly, by the promoter/ promoter group of the Company”. It adds that the acquisition “is not a related party transaction for the Company, as per the provisions of SEBI LODR” and that “The transaction has been done at arms’ length basis”.
The filing does not give the size of the land parcel, any planned megawatt capacity or the licences secured. It does not mention Google.
Our Numbers
The price of INR 1,085,51,42,595 is about 108,551 times the target’s paid-up share capital of INR 1,00,000, by our arithmetic. Converted at the ECB’s 6 November reference rate of 93.92 rupees per dollar, it is about $115.6 million. From the target’s incorporation on 3 February 2026 to the 5 November agreement is 275 days, by our count.
Because the filing gives no megawatt figure, a price per megawatt cannot be worked out from it.
The Google Context
The New Indian Express reported on 28 April 2026 that Google laid the foundation for a “Rs 1.35 lakh crore AI hub in Visakhapatnam”. The Times of India reported on 28 April 2026 that Google laid the foundation of an AI data centre in Andhra Pradesh and “partners with AdaniConneX, Airtel”, and NDTV reported on 18 October on “AdaniConneX-Google Vizag Data Centres”. We have read those three headlines only. The 6 November filing does not say whether the land it covers is tied to Google’s project.
Connecting the Coverage
We reported in October that CoreWeave planned 240 MW at an Adani campus in India (our piece), and on ESDS’s $1.25 billion Nvidia B300 deal (our piece). On 4 November we covered Google’s $15 billion Malaysia investment (our piece).
The Structural Read
As we read the filing, the price is for land and licences rather than an operating business: the target reported nil turnover and paid-up capital of INR 1,00,000.
As we read the filing, the money moves from a listed-company joint venture to a promoter-group seller; the filing says this is not a related party transaction under SEBI’s rules and was done at arm’s length.
As we read the timeline, the agreement came 275 days after the target was incorporated, by our count, and completion is due within five days of signing.
Adani Enterprises filing, 6 November 2026
“The object of acquisition is to set up infrastructure facilities.”
Three Implications
FOR ADANICONNEX The filing says the land parcel and licences would give a head start to ACX.
FOR ADANI ENTERPRISES The filing says the acquisition is not a related party transaction for the company under SEBI LODR.
FOR THE VIZAG BUILD-OUT The filing does not give land area, megawatt capacity or customers, so the scale of what will be built is not established.
The Business Engineer Lens
This story maps onto the Business Engineer framework The AI Supercycle.
The analysis says: “The job of any operator, investor, or builder is to know which layer they are operating inside and which layer the binding constraint is rotating toward next.”
As we read it, land and licences sit at the bottom of the data-centre stack, before power and chips. The analysis does not discuss Adani, AdaniConneX or Visakhapatnam.
What Is Not Established
The filing does not state the land area, the planned capacity, the licences held or the end customer. It does not explain how the INR 1,085.5 crore price was set beyond calling it arm’s length. The dollar figure uses the ECB reference rate, not the Reserve Bank of India’s, and is approximate.
The Bottom Line
AdaniConneX has agreed to pay about โน1,085.5 crore in cash, or roughly $115.6 million by our arithmetic, for Vizag Mega Data Center Park, a company incorporated in February that has not started commercial activities and reported nil turnover. The target is controlled by the Adani promoter group, the filing says, and the deal is due to complete by 10 November.

A note on sourcing. Deal terms are from Adani Enterprises’ 6 November 2026 Regulation 30 filing to BSE and NSE. The Google context is from the headlines of the named outlets, which we have not read in full. The dollar conversion uses the ECB’s 6 November reference rate; the multiple and day count are ours. This is not investment advice.
