Goodman Group and Digital Realty bought NEXTDC shares at A$9.50 each in an aftermarket raid for a 9.9% stake worth A$730 million, Real Assets reported, through Ackland Investments No.1 Trust, a vehicle the two own in equal shares, according to NEXTDC’s 5 November ASX release. NEXTDC’s board called it “an opportunistic move by Goodman and Digital Realty”.
By our arithmetic, A$730 million for 9.9% implies about A$7.4 billion for the whole company at the raid price.
Business Pill · Lead Time Explained
A short Business Engineer explainer on lead times. It teaches the general idea only and does not discuss NEXTDC.
The key insight: Goodman Group and Digital Realty bought NEXTDC shares at A$9.50 each for a 9.9% stake worth A$730 million, Real Assets reported, two weeks after NEXTDC’s M3 Melbourne power delay and revised FY27 guidance. NEXTDC’s board called the raid opportunistic and said any bona fide approach would be considered on its merits.
What NEXTDC Disclosed
NEXTDC said Ackland conducted an aftermarket book build on 4 November 2026 seeking to acquire NEXTDC shares at A$9.50 per share, up to a maximum holding of 9.9% of its ordinary shares, and that it “does not know the outcome of the share raid”, according to the release.
The company noted the statement by Goodman and Digital Realty, through their broker, that they have “no intention of submitting a control proposal or making a takeover bid for the Company at this time, but reserve their right to do so”, the release says.
The board said it is not in possession of any takeover proposal and that “Any bona fide approaches will be considered by the Board on their merits and in the best interests of all NEXTDC shareholders”. NEXTDC named Barrenjoey and UBS as joint lead financial advisers and Cadence Advisory as independent adviser, the release says.

The Price and the Market
The A$9.50 price was a 45.5% premium to NEXTDC’s previous close, Real Assets reported. NEXTDC shares jumped as much as 45.8% to A$9.52 in early trade, after losing 45.8% in October, Reuters reported, and closed 50.84% higher on Thursday, CNBC reported. Reuters had earlier reported a deal worth about A$715 million, citing a term sheet.
The raid came two weeks after NEXTDC’s 21 October announcement of the M3 Melbourne power delay and revised FY27 guidance, the release says. NEXTDC said in October it would shelve all new development projects and land acquisitions for the foreseeable future and evaluate capital recycling opportunities, Reuters reported.

The Structural Read
As we read the release, NEXTDC disclosed the raid’s terms (A$9.50 a share, up to 9.9%, through a vehicle Goodman and Digital Realty own in equal shares) but said it did not know the outcome; the completed stake and the A$730 million come from Real Assets.
As we read the numbers, A$730 million for 9.9% implies about A$7.4 billion for the whole company at the raid price, by our arithmetic.
As we read the sequence, the raid followed a 45.8% fall in NEXTDC shares in October, which Reuters reported, and the shares closed 50.84% higher on 5 November, which CNBC reported.

The Business Engineer Lens
This story maps onto the Business Engineer framework The AI Supercycle.
The analysis says: “The job of any operator, investor, or builder is to know which layer they are operating inside and which layer the binding constraint is rotating toward next.”
As we read it, a share raid on a listed data center developer after a power delay is an example of capital moving toward the layer where the constraint sits. The analysis does not discuss NEXTDC, Goodman or Digital Realty.
What Is Not Established
NEXTDC’s 5 November release said it did not know the outcome of the share raid; the A$730 million figure and the completed 9.9% stake come from Real Assets’ report. The documents we read give no statement from Goodman or Digital Realty beyond what their broker told investors, and Reuters said both did not immediately respond to requests for comment.
The Bottom Line
Goodman Group and Digital Realty bought a 9.9% stake in NEXTDC at A$9.50 a share for A$730 million, Real Assets reported, and NEXTDC’s board called it opportunistic. A$730 million for 9.9% implies about A$7.4 billion for the whole company, by our arithmetic.
